Xenon Pharmaceuticals Inc. annual report, FY2016

Xenon Pharmaceuticals Inc. — FY 2016 Form 10-K

Reporting period: Fiscal year ended December 31, 2016. The filing also reports unaudited fourth-quarter results. Amounts are in U.S. dollars unless noted.

Business context and pipeline

Xenon is a clinical-stage biopharmaceutical company focused on discovering and developing therapeutics, including ion-channel inhibitors. It aims to commercialize selected orphan and niche products itself and partner larger-market programs. It has no marketed proprietary products; revenue primarily comes from collaborations and licensing.

  • XEN801: Phase 2 acne trial enrollment completed; topline results expected in the latter part of Q1 2017.
  • XEN901: Selective Nav1.6 inhibitor for epilepsy; IND or equivalent filing expected in Q4 2017.
  • TV-45070: Teva’s Phase 2b post-herpetic neuralgia trial ongoing; results expected mid-2017.
  • Genentech Nav1.7 program: Phase 1 trials completed for GDC-0276 and GDC-0310; Genentech planned to focus on GDC-0310 and anticipated a Phase 2 start in 2017, subject to further assessment.
  • Glybera: Approved in the EU and commercially launched, but Xenon does not expect significant sales-related revenue. uniQure will not pursue U.S. approval.

Financial performance and liquidity

MetricFY 2016FY 2015
Revenue$1.8 million$15.6 million
Research and development expense$19.8 million$15.2 million
General and administrative expense$6.8 million$9.8 million
Operating loss$24.8 million$9.4 million
Net loss$23.0 million$15.8 million
Net loss per share, basic and diluted$1.48$1.10
Cash used in operating activities$19.6 million$18.1 million

Revenue was almost entirely collaboration revenue ($1.767 million); royalties were $36,000. There is no meaningful product-sales margin disclosed because the company has not established proprietary product sales. The revenue decline primarily reflects completion of amortization of Teva and Genentech upfront payments and lower Genentech research funding. R&D spending rose with investment in discovery, the Nav1.6 program and Phase 2 XEN801; lower G&A reflected one-time 2015 charges and costs.

At year-end, cash, cash equivalents and marketable securities totaled $64.1 million ($17.1 million cash and equivalents; $47.1 million marketable securities), versus $58.7 million in 2015. Working capital was $62.2 million; total assets were $67.5 million and shareholders’ equity was $63.9 million. The company had no debt. The 2016 cash-flow statement reports $47.8 million used in investing, mainly purchases of marketable securities, and $24.0 million provided by financing, principally the September share offering. That offering comprised 3.45 million shares at $7.50 and generated approximately $24.3 million after underwriting discounts and commissions but before offering expenses.

Management expected existing cash and securities plus anticipated collaboration research funding to cover operating and capital requirements for at least 12–24 months from the filing date. It cautioned that funds would not be sufficient to complete clinical development and prepare for commercialization, and that additional capital would likely be needed. No committed external capital source was identified beyond collaborator obligations.

Fourth-quarter and prior-period comparison

In Q4 2016, revenue was $376,000, operating loss was $5.462 million, net loss was $6.004 million, and basic and diluted loss per share was $0.34. For FY 2016, net loss increased by $7.2 million from 2015 as revenue fell and operating costs remained higher; the improvement in foreign exchange results partly offset these factors. Foreign exchange moved from a $6.9 million loss in 2015 to a $1.3 million gain in 2016, principally reflecting Canadian-dollar movements. Xenon’s functional currency changed from the Canadian dollar to the U.S. dollar on January 1, 2015, affecting comparability.

Outlook, risks and notable items

  • Management expected significant expenses and operating losses to continue as pipeline development advances; profitability is not expected in the foreseeable future.
  • Potential collaboration milestones exceed $1.0 billion in aggregate, but depend on development, regulatory and commercial achievements and are not assured. Future revenue is expected to be variable and milestone-dependent.
  • Key risks include clinical-trial efficacy and safety uncertainty, patient recruitment, regulatory delays, dependence on collaborators for partnered programs, need for additional financing, foreign-exchange exposure, intellectual-property challenges, and reimbursement and pricing uncertainty.
  • A Health Canada routine inspection of a site in the XEN801 Phase 2 trial was ongoing. Initial findings concerned sponsor obligations under good clinical practices and records. Management said it did not believe the findings affected data integrity, participant safety or trial validity; a written report and any corrective actions were pending.
  • The company reported effective disclosure controls and internal control over financial reporting at December 31, 2016. Its independent auditor issued an unqualified opinion on the financial statements.
  • There were no material legal proceedings disclosed. The company had a $7.0 million five-year Medpace services commitment; $3.0 million had been paid in 2015, with possible forfeiture or other consequences if commitments are not met. Operating lease commitments totaled $5.9 million.

Important facts for investors to verify

  • Whether XEN801’s Phase 2 results and subsequent development support the expected clinical and commercial opportunity.
  • Whether Teva’s TV-45070 and Genentech’s GDC-0310 programs meet trial milestones and continue on their stated timelines.
  • Cash burn, collaboration funding and financing needs relative to the stated 12–24-month runway and development plans.
  • Health Canada’s final inspection report and any resulting corrective actions or effects on the XEN801 trial.
  • Actual milestone, royalty and commercialization receipts, particularly given the company’s stated expectation of limited Glybera revenue.
