Material changes versus the prior comparable period

  • Sales rose 1.7%; management attributed the increase mainly to Spartech, improved mix and pricing. Softer European and wire-and-cable demand and exits from certain Brazilian product lines partly offset growth.
  • Gross margin improved, but operating income fell 33.0%. Selling and administrative expense rose $95.2 million, notably because of the unfavorable pension mark-to-market swing and restructuring costs.
  • Continuing-operations net income declined 16.9%. The 2013 comparison included $149.8 million of income from discontinued operations, principally the gain on the sale of the Resin Business; total net income therefore fell substantially, to $78.4 million from $242.7 million.
  • Operating cash flow increased by $99.4 million, helped by lower tax and pension-benefit payments and improved working capital. Cash declined by $126.6 million, in part due to $233.2 million of share repurchases and $29.9 million of dividends paid.
  • Segment operating income increased in all five segments, but corporate and eliminations costs worsened materially. The Global Color, Additives and Inks segment acquired Accella specialty assets for $47.2 million cash, net of cash acquired, in December 2014.

Outlook, commentary, risks and unusual items

  • No specific 2015 revenue or earnings guidance was provided. Management said its near-term priorities include sales growth, improving the cost/price relationship for raw materials, working-capital efficiency, and margin improvement. Estimated 2015 capital expenditures are $85.0 million.
  • Management cited continued Spartech integration, operational realignment, Lean Six Sigma, and potential complementary acquisitions as priorities. It expects approximately $15.0 million of additional Spartech-related restructuring costs, primarily in the first half of 2015.
  • 2014 operating income included $94.1 million of employee separation and restructuring costs, a $56.5 million pension and post-retirement mark-to-market charge, and $10.3 million of environmental expense. The pension charge reflected lower discount rates and updated mortality assumptions. The effective tax rate was 12.7%, including benefits from certain foreign investments and tax settlements.
  • Environmental reserves were $121.1 million at year-end; management estimated 2015 environmental cash expenditures of about $11.5 million. Additional remediation costs are possible, but the filing says any excess over recorded reserves cannot currently be estimated. The Calvert City remediation study remains ongoing; potential liability for the lower Passaic River matter was not estimable.
  • Other key risks include volatile raw-material and energy prices, inability to pass costs through to customers, end-market weakness, foreign-exchange movements, environmental and product regulation, acquisition integration, pension funding and debt covenant or refinancing risk. A guarantee related to SunBelt notes remained outstanding at $18.3 million, with Olin indemnifying PolyOne.

Most important facts for investors to verify

  • Reconcile reported operating-income and earnings declines with restructuring charges, pension remeasurement, environmental costs, and the prior-year Resin Business disposal gain.
  • Review the sustainability of operating cash flow and liquidity, including cash held abroad: 91% of year-end cash was outside the United States and repatriation could trigger taxes.
  • Track debt maturities, the $61.8 million due in 2015, revolving-credit availability, and covenant compliance.
  • Monitor Spartech integration savings and the expected remaining restructuring costs, along with Accella’s contribution after acquisition.
  • Assess changes in environmental remediation estimates, especially at Calvert City, and developments in the Passaic River investigation.
