The portfolio covered 143 companies. First-lien senior secured loans were 64.0% of investment fair value; 94.2% of debt investments were floating-rate. Weighted-average portfolio yield was 12.9% at amortized cost, versus 11.4% at December 31, 2022. NAV was $17.54 per share, up from $17.29.

Expenses and income measures. Q3 total expenses rose to $36.1 million from $28.7 million, including interest and debt financing expense of $20.8 million versus $14.4 million. For the nine months, expenses were $113.8 million versus $78.7 million, with financing expense of $60.8 million versus $36.1 million. The filing reports an annualized ratio of net investment income to average net assets of 13.34% for the first nine months, versus 9.80% in 2022; total expenses to average net assets were 13.23% versus 9.19%.

Debt and liquidity. September 30 debt principal outstanding was $1.379 billion, compared with $1.396 billion at year-end; carrying value was $1.370 billion. Debt consisted principally of the 2019-1 CLO debt ($352.5 million), March 2026 notes ($300 million), October 2026 notes ($300 million) and Sumitomo revolving facility borrowings ($426 million). Asset coverage was 182.2%, above the disclosed 150% minimum. Cash, foreign cash and restricted cash totaled $105.4 million, down from $125.7 million at year-end. The company reported approximately $224.2 million available under the Sumitomo facility, subject to facility terms and regulatory requirements. Nine-month financing activities used $89.3 million, including $72.3 million of distributions paid.

Material changes versus comparable periods

  • Investment income increased 23% in Q3 and 42% for the nine-month period. Management attributed the increase principally to higher base rates and a modestly larger portfolio; dividend income also rose, partly from investments in affiliated programs.
  • Net investment income increased 18% in Q3 and 36% year to date, while higher benchmark rates and increased use of the Sumitomo facility drove higher financing costs.
  • Despite stronger net investment income, Q3 included $51.8 million of net realized losses, largely investment losses. Unrealized appreciation of $50.0 million substantially offset those realized losses in the quarter. For the nine months, realized losses were $69.6 million, partially offset by $55.2 million of unrealized appreciation.
  • Investment activity was lower: the company invested $114.2 million and had $102.8 million of principal repayments and sales in Q3, versus $433.0 million invested and $396.5 million repaid or sold in Q3 2022. For nine months, investments were $630.8 million versus $1.292 billion in 2022.
  • Distributions declared were $0.42 per share for Q3 2023, compared with $0.34 in Q3 2022. Nine-month distributions were $1.18 per share versus $1.02.
  • Non-accrual exposure declined: four loans from three issuers, with $24.6 million fair value, or 1.0% of portfolio fair value, were on non-accrual at September 30, versus five loans and $38.4 million, or 1.6%, at year-end 2022.

Outlook, risks and unusual items

  • The filing provides no specific earnings, yield, deployment or distribution guidance. Management says investment activity may vary with market conditions, deal activity, available capital, liquidity and competition; future distributions remain subject to Board approval and available funds.
  • Credit quality remains a key risk. At quarter-end, 4.1% of portfolio fair value was rated 3 and 1.1% rated 4 under the adviser’s internal scale, compared with 7.6% and 1.6%, respectively, at year-end. The schedule identifies non-accrual loans, including positions in Efficient Collaborative Retail Marketing Company and Thrasio; the filing reports four non-accrual loans across three issuers.
  • Valuation risk is material: $2.297 billion of investment fair value was classified as Level 3, using significant unobservable inputs. The filing cautions that realized proceeds may differ materially from estimated fair values. Foreign-currency exposure is partly hedged with forward contracts, which introduce counterparty risk.
  • Portfolio-company commitments to fund additional loans totaled $283.8 million at September 30, subject to borrower conditions. Some investments accrue payment-in-kind interest, which is not current cash income.
  • Affiliate financing activity included a $400 million 2023-1 CLO transaction by Bain Capital Senior Loan Program and a new $140 million revolving facility for that program. International Senior Loan Program refinanced and extended its credit facility maturity to February 2027. These are program-level transactions, not new direct company borrowings.
  • Management noted ongoing strain in the banking system as a risk because the business depends on bank relationships. The filing also highlights rate, foreign-exchange, borrower credit, liquidity, leverage and fair-value risks. No material litigation was reported, and management disclosed no subsequent event requiring adjustment or disclosure through November 6, 2023.

Important facts for investors to verify

  • Review the $51.8 million Q3 realized loss and $69.6 million nine-month realized loss, including the affected investments, recovery assumptions and any further deterioration after quarter-end.
  • Check the status and performance of the four loans on non-accrual, the internal ratings 3 and 4 portfolio, and the extent of PIK income relative to cash collections.
  • Assess the sustainability of the $0.42 quarterly distribution against taxable income, GAAP net investment income, realized gains and the company’s excise-tax position; final tax characterization was not yet determined.
  • Monitor leverage and liquidity, including the 182.2% asset coverage ratio, remaining Sumitomo availability, debt maturities and the $283.8 million of unfunded investment commitments.
  • Examine Level 3 valuation methods and sensitivities, particularly comparative yields, discount rates, recovery assumptions and the substantial share of the portfolio valued using unobservable inputs.
  • Confirm that higher floating-rate investment income continues to exceed higher borrowing and other expenses if benchmark rates or portfolio credit conditions change.
