Outlook, risks and contingencies
For 2018, management guided to production of 55,000–59,000 ounces and on-mine cost of $650–$685 per ounce. The Blanket Investment Plan targets 80,000 ounces annually by 2021; management said it was on schedule and within budget. Planned investment was approximately $21.3 million in 2018 and $35 million across 2019–2021, expected to be funded by operating cash flow, cash and debt facilities. Management stated it expects available resources to fund planned operations and investment through 2021.
Key risks include gold-price and operating-cost volatility, reserve and production uncertainty, Zimbabwe political, regulatory and foreign-exchange risks, and reliance on Fidelity as the sole gold buyer. No gold-price hedge was in place at year-end. Zimbabwean approval is required for certain fund transfers; the company reported obtaining necessary approvals but noted that foreign payments may be delayed. The company also disclosed illegal mining, infrastructure and power risks, and dependence on permits and export incentives.
Blanket recorded two mining-related fatalities in 2017; a further fatal accident occurred on February 23, 2018. The company said it reinforced safety procedures. A pilot processing run on satellite-property GG ore achieved 54% recovery; further trials were planned. The sale of the inactive Eersteling mine for $3.0 million remained conditional on receipt of the full consideration; only part of the deposit had been received by the report date.
The 2017 financial statements received an unqualified audit opinion. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor did not attest to internal controls. The filing reports no material legal proceedings known to management and no material contingent liabilities. Rehabilitation provisions were $3.797 million. The $31.052 million of facilitation loans associated with Blanket’s indigenisation structure is not recognized as a loan receivable under IFRS and is disclosed as an off-balance-sheet arrangement.
Following Zimbabwe’s March 2018 relaxation of indigenisation requirements, Caledonia said it intended to pursue a transaction expected to increase its Blanket holding from 49% to slightly above 50% and evaluate buying out certain indigenous partners. No agreement was assured; management intended to retain employee and community shareholders.
Most important facts for investors to verify
- Whether 2018 production and cost guidance, and the 2021 target of 80,000 ounces, are being achieved within the revised mine-development plan and budget.
- The status and timing of Zimbabwe export-incentive receipts, VAT refunds, royalty matters and approvals for moving funds out of the country.
- Progress on the proposed Blanket ownership changes, including transaction terms, funding, and the effect on Caledonia’s economic interest and non-controlling interests.
- Actual cash generation and remaining capital commitments against the expansion program; also review the $31.052 million facilitation-loan structure and its treatment in the accounts.
- Mine safety performance, reserve assumptions, and results of further metallurgical tests at GG; the filing cautions that reserves and production estimates are uncertain.
- Dividend sustainability: the stated policy was a quarterly dividend of 6.875 U.S. cents per share, while the company was undertaking substantial expansion spending.
