Liquidity, debt and balance sheet

  • Cash and cash equivalents were $157.4 million at March 26, 2016, versus $117.9 million at December 26, 2015. Cash, cash equivalents and investments totaled $176.2 million.
  • Current assets were $637.4 million and current liabilities were $310.0 million. The filing states management believes available funds, operating cash generation and financing access are sufficient for the foreseeable future.
  • Total debt before debt discounts was approximately $837.9 million, compared with $836.2 million at year-end; capital lease obligations were $31.1 million. The weighted-average debt interest rate was 1.49%. The company was compliant with credit-facility covenants.
  • Net cash provided by financing activities was $7.1 million. The company made no purchases under its authorized share-repurchase program in the quarter, although it acquired $12.1 million of shares for employee tax withholding.

Material changes and notable items

  • Revenue growth reflected higher safety-assessment study volume and pricing, growth across other businesses, and acquisitions. Oncotest contributed $2.9 million to DSA revenue growth; Celsis and Sunrise contributed $8.7 million to product revenue growth.
  • SG&A increased 16.2% to $82.9 million, including higher acquisition and integration costs and corporate expenses. Operating income nevertheless grew faster than revenue.
  • The effective tax rate was 27.1%, compared with 1.0% in Q1 2015. The prior-year rate benefited from a $10.4 million reduction in unrecognized tax benefits; 2016 expense included withholding taxes related to accessing certain Canadian and Chinese cash.
  • Other income, net was $4.0 million versus an $8.3 million expense in the prior period. The comparison was affected by the absence of a prior-year $10.4 million expense related to an indemnification asset, as well as higher venture-investment and foreign-exchange gains.
  • The company recorded a $1.9 million impairment charge for certain DSA intangible assets. It also incurred $4.0 million of WIL Research transaction and integration costs during the quarter.

Outlook, risks and contingencies

The filing provides no specific numerical revenue or earnings guidance. Management describes funding as adequate for the foreseeable future. On April 4, 2016, after quarter-end, the company acquired WIL Research for a preliminary cash purchase price of approximately $585 million. On March 30, it expanded and amended its credit facility to approximately $1.65 billion in connection with the acquisition.

Key exposures include floating-rate debt (a 100-basis-point rate increase would raise annual pretax interest expense by approximately $8.4 million), foreign-exchange fluctuations, acquisition integration and execution, and tax uncertainty. The company reported no material changes to the risk factors in its 2015 Form 10-K.

Contingencies include an IDEXX patent-infringement lawsuit for which the company cannot estimate a possible loss range; an ongoing government-contract billing matter with a recorded $1.5 million liability and possible additional losses that cannot currently be estimated; and tax controversies and unrecognized tax benefits. The company says resolution of existing litigation matters is not expected to materially affect its business or financial condition, while noting outcomes cannot be predicted.

Important facts for investors to verify

  • WIL Research’s final purchase accounting, financing impact, integration costs and contribution to results after the April 4 acquisition.
  • Whether operating cash flow and segment growth persist, particularly in DSA and Manufacturing, and how foreign exchange affects reported performance.
  • Debt and interest-rate exposure following the expanded credit facility, including leverage and covenant headroom.
  • Potential outcomes of the IDEXX litigation, government-contract billing review and tax matters, including any losses beyond recorded estimates.
  • The assumptions supporting the DSA intangible-asset impairment assessment and the valuation of contingent consideration and redeemable noncontrolling interest.
