Sales fell 6.8% year over year: organic sales declined 4.7%, currency reduced sales 4.0%, and the feminine-care acquisition added 1.9%. Gross margin improved 120 basis points, mainly from restructuring savings and lower commodity costs. GAAP net earnings included $40.8 million of spin transaction costs and $2.8 million of spin restructuring charges. The effective tax rate was 22.8%, versus 28.9%.

Segments

  • Personal Care sales were $537.1 million, down 2.4%; segment profit was $116.2 million, down 10.8%. Organic sales declined 2.5%, with competitive pressure and lower volumes partly offset by improved Wet Shave price/mix and acquisition sales.
  • Household Products sales were $501.3 million, down 11.1%; segment profit was $121.2 million, down 9.1%. Organic sales declined 6.9%, reflecting holiday shipment timing, promotions and retail inventory reductions. Excluding currency, segment profit rose $3.4 million.

Liquidity, debt and balance sheet

Cash was $1,131.6 million at December 31, 2014, substantially all held outside the U.S. Total borrowings were $2,403.2 million, including $484.2 million of variable-rate debt; cash less borrowings was approximately $(1,271.6) million. Current assets were $2,767.7 million and current liabilities $1,621.2 million. The company reported $110.8 million of remaining availability under its $450 million revolving facility after borrowings and letters of credit. Debt/EBITDA was 3.0x and EBIT/interest was 5.1x, within stated covenant thresholds.

Operating cash flow weakened to an outflow, primarily due to working-capital changes, including inventory increases of approximately $85 million. Financing cash flow was $86.9 million, supported by increased short-term borrowing; cash was nearly unchanged after a $27.7 million adverse foreign-exchange effect. The company paid a $0.50-per-share dividend and declared another $0.50 dividend for the next quarter.

Outlook, commentary and risks

  • The company expected the spin-off to be completed by July 1, 2015, subject to regulatory, tax, SEC filing and board-approval conditions. Estimated transaction and spin-restructuring costs through completion were $350–$425 million; potential debt-breakage, tax and capital-expenditure costs were excluded and could be significant.
  • For the separate 2013 restructuring, estimated total costs were approximately $350 million through fiscal 2016. Management reported approximately $282 million of project-to-date savings and expected total savings to exceed $330 million through fiscal 2016.
  • Normal-operation capital expenditures for fiscal 2015 were estimated at $110–$120 million, excluding possible spin-related expenditures.
  • Venezuela is a material uncertainty: approximately $81 million of net monetary assets were carried at the official rate of 6.30 bolivars per U.S. dollar, and approximately $83 million of cash was held there. Estimated pre-tax devaluation charges were $39 million at the SICAD I rate and $71 million at the SICAD II rate; a change in accounting treatment could result in a charge exceeding $100 million. Repatriation and access to alternative exchange markets were uncertain.
  • Management cited currency weakness, competitive pressure, raw-material costs, restructuring execution, spin-off conditions and costs, debt covenant compliance, and cyber-attack exposure among key risks. Legal proceedings were not considered reasonably likely to be material based on information available.
