- Q3 sales increased 9.8%: organic growth contributed 7.6%, acquisitions 3.4%, while foreign exchange reduced growth by 1.3%. Existing-business growth reflected higher volume and pricing. Nine-month sales grew 8.1% on the same reported basis.
- Q3 gross margin expanded 300 basis points, principally from volume, pricing and acquisitions, partly offset by inflation and unfavorable currency. SG&A rose $23.7m to $145.4m, reflecting acquisitions, growth spending and employee costs, partly offset by restructuring savings.
- Q3 continuing-operations income rose $6.5m year over year. For nine months, it fell $6.8m, as higher interest expense and a higher effective tax rate outweighed operating improvement. Nine-month interest expense and other was $58.8m versus $19.5m.
- Americas Q3 sales were $305.8m and Adjusted EBITDA $57.2m (18.7% margin); EMEA & APAC sales were $375.2m and Adjusted EBITDA $65.3m (17.4% margin). Excluding Russia, company Core Adjusted EBITDA margin was 18.3% in Q3 versus 16.9% a year earlier.
Cash, debt and liquidity
- Nine-month operating cash flow was $208.1m, up from $122.9m. Investing cash outflow was $42.4m, including $28.9m of capital expenditures and $18.7m for the Therapy Equipment acquisition. Financing cash outflow was $142.2m, primarily reflecting net debt repayments and $9.7m of dividends.
- Cash was $82.8m at September 29, 2023, up $10.8m from year-end 2022; $73.4m was held outside the United States. Management said operating cash flows and available debt capacity should fund operations for the next 12 months.
- Total debt was $1.091bn, versus $1.221bn at December 31, 2022. The weighted-average borrowing rate was 5.22%; $653m of revolving capacity remained available, subject to covenants and other requirements. The company reported compliance with its credit covenants.
Outlook, risks and unusual items
- No specific numerical revenue, earnings or margin guidance is provided. Management expressed a positive long-term view on organic growth, product and customer expansion, and strategic acquisitions, while noting cyclical market exposure and seasonality, including a typical summer slowdown in Europe.
- Russia represented about 5% of revenue in both the quarter and nine-month period; related net income was approximately $3m and $10m, respectively. Russia represented about 4% of net assets excluding goodwill. A potential exit could realize approximately $125m of cumulative translation loss; geopolitical developments, sanctions and contractual obligations remain risks.
- The nine-month effective tax rate was 32.2%, versus 27.2% a year earlier. Discrete items included $10.9m of tax expense after a change in the indefinite-reinvestment assertion and a $9.4m increase in uncertain-tax-position liability following an adverse foreign-court ruling.
- Asbestos matters from legacy divested businesses remain classified as discontinued operations. The balance sheet included $225.6m of asbestos liabilities and $203.5m of related insurance assets and receivables. Claims, insurance coverage, insurer solvency and estimates beyond the 15-year accrual horizon create uncertainty. Q3 discontinued-operations loss was $1.7m.
- Other key exposures include foreign-exchange movements, interest rates, raw-material prices, supply-chain and labor constraints, acquisition integration, restructuring execution, and ordinary-course litigation. A 1% interest-rate increase was estimated to add about $3.7m of interest expense for the nine-month period; management hedged $600m of floating-rate debt.
