Entergy Corporation — FY2022 Form 10-K
Business context and reporting period. This combined filing covers Entergy Corporation and six regulated subsidiaries for the year ended December 31, 2022; it is an annual report, not a standalone fourth-quarter report. Entergy primarily supplies electricity across Arkansas, Louisiana, Mississippi and Texas. The Utility segment generated 98% of consolidated revenue. Following the June 2022 sale of Palisades, Entergy completed its exit from merchant nuclear generation; Entergy Wholesale Commodities ceased to be a reportable segment effective January 1, 2023.

Year-end long-term debt was $25.933 billion, including $2.309 billion currently maturing; commercial paper outstanding was $828 million. Entergy had $3.347 billion available under its $3.5 billion parent credit facility. Its credit-facility covenant requires a defined consolidated debt ratio of 65% or less; the filing reports compliance. Planned capital investment totals $3.945 billion in 2023, $5.535 billion in 2024 and $6.555 billion in 2025.
Retail electric sales increased 5% to 120,129 GWh, with total Utility electric sales up 4%. Utility revenue growth included $1.713 billion of fuel, rider and other revenues that generally do not significantly affect net income, $331 million from retail electric pricing and $276 million from volume and weather. Higher fuel and purchased-power expenses, operating costs and interest expense weighed on results. Consolidated operating margin was approximately 14.9% versus 15.7%; net income attributable to Entergy was approximately 8.0% of revenue versus 9.5%.
Material changes and unusual items
- The Utility segment’s net income attributable to Entergy declined to $1.407 billion from $1.490 billion. Entergy Wholesale Commodities swung to $62.6 million of income from a $122.9 million loss, reflecting the wind-down, lower costs and the Palisades sale; revenue fell to $343 million from $698 million.
- System Energy recorded a $551 million regulatory charge ($413 million after tax) related to FERC proceedings. This was a major offset to earnings.
- Louisiana’s storm-cost securitization reduced income tax expense by a net $283 million, while a related $224 million regulatory charge ($165 million after tax) recorded the obligation to provide customer credits.
- The Palisades sale generated a $166 million gain ($130 million after tax). By comparison, the 2021 Indian Point sale resulted in a $340 million charge ($268 million after tax).
- Entergy settled equity forward sales in November 2022, issuing 7.688 million shares for $853 million in proceeds. The debt-to-capital ratio decline partly reflected the resulting equity increase.
Outlook, risks and contingencies
- Capital program and transition: Management plans substantial utility investment in generation, transmission, distribution, resilience and renewables. It targets net-zero carbon emissions by 2050 and 50% carbon-free generation capacity by 2030. Project timing and cost remain exposed to regulatory approvals, inflation, supply-chain disruption and potential solar-panel tariffs. MISO resource-adequacy rule changes could also affect capacity needs.
- Storm recovery: Louisiana’s 2022 securitization issued $3.194 billion of bonds through the LCDA, which Entergy and Entergy Louisiana do not report as their debt. A further Louisiana settlement would authorize $1.491 billion of securitization, subject to final, non-appealable regulatory approval and bond marketing. Entergy New Orleans issued $209.3 million of storm-recovery bonds; the prudence of some Hurricane Ida costs remains under City Council review.
- System Energy/FERC exposure: FERC proceedings concern Grand Gulf rates, the sale-leaseback, tax positions, capital structure and operating prudence. System Energy paid $103.5 million of refunds in January 2023 and recorded a $551 million 2022 charge. Regulators challenged its refund calculation for uncertain tax positions; the City Council estimated potential additional refunds of $493 million including interest. The filing warns that refunds at the regulators’ asserted level could jeopardize System Energy’s financial viability. A separate Grand Gulf prudence complaint seeks at least $360 million, among other relief; proceedings remain unresolved.
- Tax: Entergy reported a negative 3.7% effective tax rate in 2022, influenced by the securitization tax benefit. The company said it may become subject to the Inflation Reduction Act’s 15% corporate alternative minimum tax in two to three years, but could not yet estimate the full effects. Unrecognized tax benefits, net of unused tax attributes and payments, were $745 million at year-end.
- Operations and regulation: Waterford 3 remained in NRC Column 2 and was expected to remain there until the third quarter of 2023. Management identifies rate recovery, fuel costs, weather and storms, nuclear operations, environmental rules, financing costs, pension funding, cybersecurity and litigation as material risks. Deloitte issued unqualified opinions on the consolidated financial statements and Entergy Corporation’s internal controls; management also assessed controls as effective.
Important facts for investors to verify
- Follow FERC rulings, appeals and the remaining System Energy refund exposure, particularly the disputed uncertain-tax-position remedy and Grand Gulf prudence claims.
- Confirm final regulatory approval, appeal status, financing terms and customer recovery timing for Louisiana and New Orleans storm costs.
- Track execution and cost recovery for the $1.215 billion Orange County power station and the multiyear solar and resilience plans.
- Assess whether operating cash flow, capital spending, debt maturities and dividends remain compatible with liquidity and credit covenants.
- Separate recurring utility earnings from pass-through fuel revenues, securitization tax effects, regulatory charges and asset-sale gains when evaluating year-over-year performance.
