Outlook, commentary, risks and unusual items

Management reported record occupancy following the lifting of many COVID-19-related restrictions, but cautioned that the pandemic, unemployment, renewed restrictions or reduced tenant ability to pay could adversely affect occupancy, rental rates and ancillary revenues. The self-storage business is seasonal, with higher revenues and profits generally occurring from May through September.

  • Interest-rate risk remains material: a hypothetical 100-basis-point increase or decrease in LIBOR was estimated to change annual interest expense, earnings and cash flows by approximately $11.0 million.
  • The Company held 20 interest-rate derivatives with aggregate notional amounts of $1.986 billion. Derivative liabilities were $61.4 million at quarter-end, and a breach of certain debt or derivative provisions could have required cash settlement of approximately $63.3 million.
  • As of September 30, 2021, the Company was under agreement to acquire 15 stores for $221.9 million and 11 stores with joint venture partners for a total investment of $23.8 million.
  • Ordinary-course litigation and claims remain unresolved; management stated that outcomes cannot presently be determined with certainty and that losses could exceed accrued amounts.
  • Other risks include competition, acquisition and development execution, changes in interest rates, capital-market disruptions, asset impairments, environmental liabilities, regulatory and REIT tax requirements, joint-venture decision-making and natural disasters, war or terrorism.
  • Management reported no material changes to the risk factors disclosed in the 2020 Form 10-K and concluded that disclosure controls and procedures were effective.

Most important facts for investors to verify

  • Whether the exceptional same-store occupancy, rental-rate growth and NOI growth are sustainable after seasonal effects and normalization of post-pandemic demand.
  • The effect of acquisitions, pending acquisitions, dispositions and joint-venture activity on future revenue, NOI, leverage and dilution.
  • Debt maturities, refinancing requirements and sensitivity to higher interest rates, particularly the variable-rate debt exposure.
  • Whether operating cash flow and revolving credit capacity remain sufficient to fund dividends, acquisitions, capital expenditures and debt service.
  • The recurring operating contribution of the $63.9 million year-to-date real estate gain and the extent to which reported earnings and FFO benefit from other unusual items.
  • Potential exposure from litigation, environmental matters, derivative covenants and the Company’s stated acquisition commitments.
