Material changes and operating trends
- Q3 revenue increased 2.7%, but operating expenses rose 8.1%, resulting in an operating loss and a swing to a net loss. Nine-month revenue increased 2.5%, while expenses rose 6.4% and net income fell 48%.
- B2B Services revenue grew 26% in Q3 and 27% for the nine months, but segment profit fell 16% and 13%, respectively, as processing and call-center costs grew faster than revenue. Some BaaS arrangements have fixed-profit structures that limit profit growth.
- Consumer Services revenue declined 13% in both periods; segment profit fell 21% in Q3 and 17% year to date. Money Movement Services revenue declined 15% in Q3 and 5% year to date.
- Gross dollar volume grew 33% in Q3 and 36% year to date, driven by BaaS programs, while active accounts fell 15% at quarter-end, purchase volume declined 17% in Q3 and 15% year to date, and cash transfers declined 9% and 5%, respectively.
- Nine-month operating cash flow fell to $132.4 million from $252.1 million. Cash and restricted cash decreased $104.4 million; financing cash use included a $238.4 million net decrease in deposits. Investing cash flow was positive $18.4 million, including $131.8 million of proceeds from investment maturities and $55.5 million in property and equipment spending.
Outlook, risks and unusual items
- Management expected consolidated operating profit to decline year over year in fiscal 2023, citing macroeconomic conditions, partner non-renewals, retail-channel trends, growth investments and the timing of technology-related savings. No numerical earnings guidance is provided in the filing.
- Green Dot completed final account migrations for its processor conversion during Q3 and expected the change to benefit processing expenses and margins beginning in Q4. Further technology-transformation investment was expected through at least 2024; the broader core banking platform migration was anticipated to finish in 2024.
- Management said 2023 capital expenditures were expected to be below 2022 levels but above the recent annual average. It stated available cash, operating cash flow and borrowing capacity should cover expected needs for at least 12 months.
- A change in estimated gift-card breakage rates added approximately $10 million to Q3 card revenue; management said the change was not material to future periods.
- Available-for-sale securities had $487.0 million of gross unrealized losses at September 30, largely attributed to higher interest rates. The company said it did not intend, and was not more likely than not required, to sell before recovery of amortized cost, potentially at maturity. Accumulated other comprehensive loss was $367.1 million.
- A single BaaS partner generated 47% of Q3 revenue and 39% of nine-month revenue, versus 35% and 29% in the comparable 2022 periods. Walmart accounted for 17% in both 2023 periods. Partner concentration, renewals and settlement exposure are material risks.
- Management cited higher customer-dispute transaction losses and ongoing investment in anti-money-laundering controls. It also disclosed post-quarter putative class actions concerning gift-card tampering, early-morning account-statement emails and restricted customer funds; potential losses were not estimable.
- Green Dot committed to annual $35 million capital contributions to TailFin Labs through January 2024. The filing also describes an ongoing IRS examination of the 2017 federal tax return, with no material impact expected by management.
