- Oil and gas revenue was $176.1 million. Gas sales increased to $118.6 million from $18.3 million, while oil and condensate sales declined to $35.5 million from $73.4 million and NGL sales declined to $22.0 million from $26.1 million.
- Production increased 161% to 38,198 MMcfe, or approximately 424.4 MMcfe per day, driven primarily by Utica development. Average realized price declined 43% to $4.61 per Mcfe from $8.06.
- Costs increased materially: lease operating expense rose to $17.0 million, midstream gathering and processing to $25.4 million, and DD&A to $89.9 million. Interest expense rose to $8.8 million from $3.9 million.
- Q1 2015 net income included $20.0 million of income from equity method investments, including approximately $7.2 million of Blackhawk escrow proceeds and an approximately $18.8 million gain recognized by Windsor Midstream in connection with the Coronado sale. Q1 2014 included $128.5 million of equity investment income, including an $84.8 million Blackhawk gain and a $48.8 million Diamondback gain, plus an $18.0 million litigation settlement expense.
- Derivative instruments were a net asset of approximately $134.2 million at March 31, 2015. Hedge ineffectiveness produced a $31.3 million gain recognized in revenue.
Liquidity, capital structure and cash flow
- Cash and cash equivalents were $74.7 million at March 31, 2015, down from $142.3 million at December 31, 2014.
- Total debt was approximately $780.9 million, consisting primarily of $165.0 million outstanding under the revolving credit facility, $600.0 million of 7.75% senior notes due 2020 and building loans. Net debt increased during the quarter as the company borrowed $115.0 million and repaid $50.0 million of borrowings.
- The revolving facility had a $450.0 million borrowing base at March 31, 2015; after $68.2 million of letters of credit, reported availability was $216.8 million. The borrowing base was subsequently increased to $575.0 million on April 10, 2015.
- Investing cash outflows were $231.5 million, including $226.9 million of oil and gas property additions and $6.1 million of cash calls to Grizzly. Financing cash inflows were $64.9 million. Net cash decreased by $67.6 million.
- Management stated that operating cash flow, cash on hand, proceeds from subsequent debt and equity offerings, and revolver availability should be sufficient for normal operating needs and capital requirements over the next twelve months.
Material changes versus the prior comparable period
- Utica-driven production growth substantially increased revenue, but the shift toward natural gas and NGLs and lower commodity prices reduced realized pricing and profitability.
- Net income fell sharply because Q1 2014 benefited from unusually large equity investment gains that did not recur in Q1 2015.
- Operating cash flow declined despite higher production, reflecting lower realized prices and the absence of the prior-year $84.8 million Blackhawk transaction proceeds.
- Production-related infrastructure and depletion costs increased as the Utica program expanded.
- Equity investments increased modestly to $375.0 million from $369.6 million, although Grizzly’s carrying value declined because of a $15.0 million foreign currency translation loss.
Guidance, outlook, risks and unusual items
- Management expected to spud 50 to 56 gross, or 32 to 36 net, Utica wells in 2015. Estimated 2015 capital expenditures were $561 million to $611 million, including $416 million to $446 million for Utica drilling and $20 million to $25 million for Southern Louisiana maintenance and recompletions. An additional $85 million to $95 million was expected for Utica acreage acquisitions.
- Management expected operational efficiencies and lower service costs to reduce overall well costs by approximately 15% in 2015 compared with peak 2014 pricing.
- On April 15, 2015, Gulfport agreed to acquire approximately 24,000 net nonproducing Utica acres from Paloma for approximately $301.3 million, subject to closing conditions and expected to close in the third quarter of 2015.
- On April 21, 2015, Gulfport issued 10.925 million common shares for approximately $501.9 million of net proceeds and issued $350.0 million of 6.625% senior notes due 2023 for approximately $343.6 million of net proceeds. These proceeds were used in part to repay the revolving facility and were intended to fund the Paloma acquisition and 2015 capital needs.
- Grizzly ceased bitumen production at its Algar Lake facility in April 2015 because of commodity prices. Management reported no impairment of the Grizzly investment as of March 31, 2015, but future plans remain subject to market conditions.
- Commodity price declines could reduce cash flow, impair oil and gas properties under the full-cost ceiling test, and constrain drilling. The company hedged approximately 54% to 60% of estimated 2015 production, which limits downside exposure but also limits benefits from higher prices and creates volume and counterparty risks.
- The company was in compliance with its debt covenants at March 31, 2015. Management reported no material litigation exposure, no off-balance-sheet arrangements and no material change in contractual obligations from the 2014 Form 10-K.
