Net margin was approximately 13.7%, compared with 14.9% a year earlier. The effective tax rate fell to 19.8% from 23.6%, primarily reflecting the relative impact of stock-based compensation tax benefits.
Segment results: Research revenue rose 16% to $1,136.4 million; gross contribution margin increased to 75% from 74%. Research contract value grew 16% on a foreign-currency-neutral basis to $4.2 billion. Conferences revenue fell 58% to $10.4 million, and gross contribution shifted to a $2.9 million loss from $13.9 million of income. Consulting revenue increased 17% to $116.0 million; margin improved to 44% from 39%, and backlog rose 30% to $146.8 million. The backlog comparison includes a methodology change that contributed approximately seven percentage points to growth.
Liquidity and debt: Cash and cash equivalents were $456.2 million at March 31, down from $756.5 million at year-end. Total debt principal was $2.492 billion; the balance-sheet carrying amount was $2.463 billion. Approximately $1.0 billion was available on the revolving credit facility, and the company reported compliance with its debt covenants. Current deferred revenue was $2.422 billion; total contract liabilities were $2.468 billion. Cash used in financing was $445.5 million, including $451.1 million of share repurchases. The company repurchased 1.63 million shares at an average price of $284.53.
Material changes and unusual items
- Operating income declined despite revenue growth, primarily because SG&A increased 27% to $617.9 million. Management cited higher personnel and commission costs, increased headcount, and a $23.9 million office-related impairment charge. SG&A rose to 49% of revenue from 44%.
- Net income benefited from a $29.9 million gain on de-designated interest-rate swaps, recorded in other income. Interest expense increased 20% to $31.4 million, primarily following the 2021 issuance of the 2029 Notes.
- Cash from operations increased mainly because Research bookings increased deferred revenue, partly offset by higher commission and interest payments. Share repurchases drove substantial financing cash outflow.
- On April 28, 2022, the board authorized an additional $500 million of repurchases. The filing said approximately $504.4 million remained under prior authorizations at the end of April.
Outlook, commentary and risks
The filing provides no specific numerical revenue or earnings guidance. Management said Research and Consulting had returned to pre-pandemic growth levels, while Conferences remained affected by the pandemic. Gartner planned to resume in-person destination conferences beginning in Q2 2022, subject to conditions; virtual events generate substantially less revenue and gross contribution. Management also expected business investment to increase, potentially pressuring operating margins.
- Management considered liquidity adequate for anticipated needs over the next 12 months and foreseeable future. Results for the quarter may not indicate full-year results.
- Gartner began winding down its Russia business in March 2022; Russia was not a material contributor, but broader disruption in Europe could adversely affect operations and results.
- The company continued to assess its real-estate footprint amid hybrid work. The Q1 impairment was $23.9 million, following a $49.5 million impairment in Q4 2021. Further exit costs or inability to sublease excess space could be material.
- Gartner is litigating with its event cancellation insurer over disputed 2020 reinstatement limits and 2021 COVID-related coverage. The timing and recoverability of remaining claims are uncertain; 2022 coverage excludes communicable-disease cancellations.
- Other disclosed risks include competition, customer renewals and contract growth, employee recruitment and retention, foreign exchange, interest rates, cybersecurity, economic conditions, tax matters and government budget constraints. Management reported no material change to the risk factors in its 2021 Form 10-K.
- Gross unrecognized tax benefits were $153.4 million; approximately $29.5 million could decrease within 12 months as audits close and statutes expire. Management said ordinary-course litigation beyond accrued amounts was not expected to materially affect results.
Important facts for investors to verify
- Whether Research contract value, retention and deferred-revenue growth continue to support recurring revenue and operating cash flow.
- Whether in-person conferences resume as planned and improve segment revenue and contribution, and how disputed insurance claims are resolved.
- Whether rising SG&A and planned investment continue to pressure operating margins, apart from the Q1 impairment and swap gain.
- The pace of share repurchases relative to cash balances, debt obligations and available revolver capacity.
- Potential additional real-estate impairment or exit costs, and any material effects from geopolitical, foreign-exchange, tax or other disclosed risks.
