Business segments and revenue drivers

  • Investment Banking and Capital Markets: Net revenues were $1.451 billion, up 19.2%; pretax earnings were $155.0 million, down from $182.0 million. Investment banking revenues rose 31.4% to $739.7 million, including underwriting up 64.6% and advisory up 13.9%. Equities revenues increased 17.6% to $359.1 million; fixed income was broadly steady at $352.5 million.
  • Asset Management: Net revenues were $273.4 million, versus $68.5 million; pretax earnings were $51.7 million, versus a $20.8 million loss. Higher investment returns and the consolidation of Stratos and Tessellis contributed to the increase.

Management cited stronger investment banking and capital markets conditions and market-share gains. It also said the investment banking backlog strengthened from year-end, while cautioning that expected transactions may be delayed, modified or cancelled.

Balance sheet, liquidity and capital

  • Total assets were $60.93 billion at February 29, up 5.2% from November 30, 2023; total equity was $9.87 billion.
  • Cash and cash equivalents were $7.62 billion, down from $8.53 billion. Management’s broader measure of cash and other liquidity sources was $9.53 billion, versus $10.46 billion at November 30.
  • Long-term debt was $9.92 billion, up from $9.70 billion; short-term borrowings were $1.25 billion, up from $0.99 billion. Total long-term capital was $17.96 billion. The leverage ratio was 6.2x and tangible gross leverage was 7.6x.
  • Management reported sufficient excess liquidity to meet modeled contingent cash outflows for at least 30 days without reducing the balance sheet. It also reported compliance with applicable borrowing covenants and regulatory capital requirements.
  • Jefferies returned $112.7 million to shareholders, primarily through $69.3 million in dividends and $43.0 million of share repurchases related to tax withholding on equity awards. No shares were repurchased under the publicly announced repurchase program during the quarter.

Material changes, unusual items and risks

  • Weiss Multi-Strategy Advisers: Management reported a $54.7 million pretax impact from losses associated with Weiss: $30.0 million reduced net revenues and $24.7 million increased non-compensation expenses. The filing also reports $27.0 million of bad-debt expense related to receivables associated with Weiss arrangements.
  • Acquisitions and consolidation: Stratos and OpNet were consolidated in Q4 2023. Their inclusion, particularly Tessellis and Stratos, boosted reported Asset Management and operating results and increased expenses and headcount; comparisons are therefore affected by changes in the consolidated businesses.
  • Disposals: Jefferies agreed to sell OpNet’s wholesale operating assets for €485 million, subject to adjustments and regulatory approval, with closing anticipated in Q2 or Q3 2024. The related operations are presented as discontinued. Jefferies sold Foursight in April 2024 for a stated purchase price of $115 million, subject to purchase-price adjustments.
  • Cash flow: Continuing-operations operating cash flow was negative $1.258 billion, reflecting, among other factors, changes in trading inventory and securities financing balances. Cash flow can fluctuate with business activity and balance-sheet movements.
  • Market and valuation risks: The firm’s trading, investment and derivative activities are exposed to market, credit and liquidity risks. Level 3 assets were $589 million. Management noted that VaR is a model-based estimate with limitations; average daily firmwide VaR rose to $15.13 million from $12.36 million in the prior quarter, and no daily trading loss exceeded VaR during the reporting quarter.
  • Other exposures: Commitments totaled $17.54 billion, including $8.54 billion of forward-starting reverse repos and $4.51 billion of forward-starting repos. These are contractual amounts, not expected losses. The filing identifies ongoing legal and regulatory matters but says management does not currently expect any to materially adversely affect the consolidated financial statements. Tax examinations could affect results in the period resolved.

Outlook: No numerical full-year earnings or revenue guidance is provided. Management’s commentary on improving backlog and expected activity is forward-looking and expressly subject to market conditions and execution risk.
