Lightinthebox Holding Co., Ltd. annual report, Q4 FY2022

LightInTheBox Holding Co., Ltd. — FY2022 Form 20-F Summary

Reporting period: Fiscal year ended December 31, 2022; filed March 31, 2023. This is an annual report, not a standalone fourth-quarter filing. The filing does not provide a clear set of standalone Q4 revenue or profit figures. Financial statements are prepared under U.S. GAAP.

Business context

LightInTheBox is a global online retailer selling apparel and general merchandise through its websites and apps. It reported sales across more than 140 countries and territories, with most revenue generated outside China. In 2022, apparel represented 79.3% of revenue, up from 61.4% in 2021. The company completed the liquidation of its two remaining PRC VIEs and says it now operates through wholly owned subsidiaries.

Key financial results

Amounts below are U.S. dollars; “m” means millions. Comparative changes are versus FY2021 unless stated otherwise.

  • Revenue rose 12.9%. Product sales were $491.9m, up from $435.2m; services and other revenue was $11.6m, compared with $10.9m.
  • Gross margin improved by 8.3 percentage points. Management attributed this mainly to apparel’s larger revenue share and supply-chain optimization.
  • Selling and marketing expense increased to $222.6m, or 44.2% of revenue, from $154.2m, or 34.6%. Advertising expense was $210.8m in 2022.
  • Cash flow from operations improved, but included substantial non-cash adjustments, notably the $56.1m investment impairment, and increases in accrued liabilities and customer advances.

Material changes and unusual items

  • A $56.1m impairment charge fully wrote down the company’s investment in Shenzhen Maikailai after its business deteriorated materially in Q4 2022. This was the principal driver of the year’s net loss; operating loss narrowed year over year.
  • Other income fell to $1.0m from $39.3m in 2021, when it principally reflected an increase in the estimated value of the same investment. The 2022 income tax benefit of $12.7m mainly reflected reversal of previously unrecognized tax benefits.
  • Apparel revenue increased to $399.5m from $274.2m, while other general merchandise revenue fell to $92.4m from $161.0m. North America’s share of revenue rose to 34.1% from 20.5%; “other countries” declined to 19.6% from 30.4%.

Liquidity, obligations and outlook

  • Year-end net current liabilities were $38.1m. Management said available cash and restricted cash were expected to fund operations for at least 12 months from the financial-statement issuance date, while noting that additional capital might be needed.
  • No material conventional borrowings are highlighted in the filing. Disclosed finance-lease liabilities were $78,000; operating-lease liabilities were $11.6m. Contractual operating- and finance-lease payments totaled $12.3m, including $5.4m due within one year.
  • The filing gives no quantified earnings or revenue guidance. Management expects to focus near term on customer growth and says selling and marketing expense as a percentage of revenue may decline over the longer term if scale and marketing efficiency improve.
  • Key risks include intense online retail competition, rising customer-acquisition costs, discretionary consumer demand, supplier and courier dependence, cross-border trade and tax rules, currency exposure, cybersecurity and privacy requirements, and regulatory uncertainty affecting China-linked issuers.
  • Potential PRC employee-benefit exposure was estimated at up to $2.7m as of year-end; the company said no authority action had been initiated and the actual potential fines or penalties could not be reasonably estimated. The filing also describes possible future tax penalties relating to historical individual-income-tax withholding.
  • The company reported effective disclosure controls and internal control over financial reporting as of December 31, 2022. The 2022 auditor issued an unqualified opinion and identified valuation and impairment of the Maikailai investment as critical audit matters.

Most important facts for investors to verify

  1. Whether the 12-month liquidity assessment remains supportable given the $38.1m working-capital deficit, low year-end equity and reliance on customer advances and accrued liabilities.
  2. Whether the $56.1m investment write-off is fully reflected in reported results and whether any remaining investment, recovery or related-party exposure exists.
  3. Whether marketing spending can generate profitable growth: selling and marketing reached 44.2% of revenue while operating results remained loss-making.
  4. Whether the potential $2.7m employee-benefit exposure and other tax or regulatory contingencies could result in additional costs.
  5. Whether PCAOB inspection access and evolving PRC overseas-listing requirements remain favorable, and whether the ADS listing-price compliance is maintained.
