Material changes versus prior year

  • Mountain revenue rose 84.6% to $201.7 million, and Mountain Reported EBITDA improved to $(92.1) million from $(111.0) million. Management cited record Australian visitation and favorable snow after prior-year COVID-related closures, stronger North American summer visitation, and acquired resort contributions. Total skier visits were 993,000 versus 218,000; effective ticket price fell 8.8% to $59.96.
  • Lodging revenue increased 17.7% to $77.6 million, but Lodging Reported EBITDA declined to $(4.4) million from positive $2.6 million. Higher labor costs, wage investment and contract labor were cited; owned hotel RevPAR decreased 8.2%.
  • Revenue and expenses also reflect Seven Springs, acquired in December 2021, and Andermatt-Sedrun, acquired in August 2022. The prior-year quarter included an $8.9 million gain on disposal of fixed assets; the current quarter had no comparable gain.
  • Foreign currency translation produced a $117.8 million loss in comprehensive income, while remeasurement of the Whistler intercompany loan generated a $6.1 million loss in earnings, compared with a $0.8 million gain a year earlier.

Liquidity, debt and capital allocation

  • Cash from operations exceeded reported capital expenditures by approximately $208.9 million; this simple difference is not a company-reported free-cash-flow measure. Investing cash flow also included an $86.8 million investment in short-term deposits and Andermatt-Sedrun acquisition activity.
  • Management said existing cash, credit availability and expected operating cash flow should fund near-term needs. The company was in compliance with debt covenants at quarter-end and said it expected to meet maintenance covenants over the next 12 months, while noting there is no assurance.
  • The Vail Holdings Credit Agreement was amended to transition from LIBOR to SOFR and extend maturity to September 2026. Approximately $0.7 billion of variable-rate debt remained after swaps; a 100-basis-point rate change would affect annual interest payments by about $7.3 million.
  • Cash dividends paid were $1.91 per share, or $77.0 million, versus $0.88 per share, or $35.6 million, a year earlier. A further $1.91-per-share dividend was approved for payment in January 2023. No shares were repurchased during the quarter.

Outlook, commentary and risks

  • Through December 5, 2022, North American 2022/23 pass sales were up approximately 6% in both units and sales dollars year over year. Management cautioned that the ultimate effect on lift revenue and effective ticket price was uncertain.
  • Planned resort capital expenditures were approximately $323–$333 million for calendar 2022 and $204–$209 million for calendar 2023, including specified integration, deferred and Andermatt-Sedrun growth investments. No full-year earnings or revenue guidance is provided in the filing text.
  • Management highlighted inflation, rising interest rates, commodity costs, snowfall and weather, staffing and wage pressures, COVID-19 impacts, foreign exchange movements, and the integration and performance of acquired resorts as risks. Seasonality and the business’s high fixed-cost structure heighten exposure to disruption during peak operating periods.
  • Andermatt-Sedrun purchase-price allocation remains preliminary. The company paid total consideration with an estimated fair value of $155.4 million for a 55% controlling interest; ASA retains 40%. Distributions are restricted until after fiscal 2026 under the shareholder agreement.
  • Ordinary-course lawsuits were not considered material individually or in aggregate, and the company reported no material change to previously disclosed risk factors. It had $80.0 million of letters of credit and $13.2 million of surety bonds outstanding; certain indemnifications have potentially unlimited amounts, though historical payments were not material.

Important facts for investors to verify

  • Whether pass-sale growth translates into visitation, lift revenue and effective ticket pricing during the core ski season, and how snowfall and weather affect results.
  • Whether labor, operating and integration costs remain elevated, particularly at Seven Springs and Andermatt-Sedrun, and whether those acquisitions meet expectations.
  • Cash flow, capital spending and net debt trends, including the planned capital program and the effect of interest-rate and foreign-currency movements.
  • Final Andermatt-Sedrun purchase accounting, acquired-business controls integration, and ongoing compliance with debt covenants.
  • The sustainability of dividend payments in light of seasonal cash flows, capital needs, debt restrictions and future operating results.
