Net Power Inc. quarterly report, Q1 FY2024

Net Power Inc. — Q1 2024 Form 10-Q

Reporting period: Three months ended March 31, 2024. Net Power is a development-stage clean-energy technology company developing its NET Power Cycle, designed to generate electricity from natural gas while capturing carbon dioxide and reducing other air pollutants.

Financial performance and position

MetricQ1 2024Q1 2023
Revenue$0$0.05 million
Operating expenses$38.8 million$17.1 million
Operating loss$38.8 million$17.0 million
Net loss, consolidated$41.6 million$17.1 million
Net loss attributable to NET Power Inc.$11.4 million$17.1 million
Net cash used in operating activities$2.7 million$5.1 million
  • Gross margin is not meaningful because revenue was zero. The company has not generated material revenue.
  • Q1 operating expenses rose $21.7 million year over year, notably from higher amortization and depreciation following the Business Combination accounting step-up, increased R&D, and higher employee-related costs. R&D included $8.3 million of BHES joint-development costs.
  • Net loss included $7.7 million of interest income, offset in part by a $14.6 million adverse change in the fair value of earnout-share and warrant liabilities. A $4.0 million income tax benefit was recorded.
  • At March 31, cash and cash equivalents were $428.6 million; short-term investments were $100.0 million and available-for-sale securities totaled $97.0 million. Total liquidity was $625.6 million, down from $636.9 million at year-end 2023.
  • Cash used in investing activities was $105.7 million, primarily reflecting purchases of fixed-income securities and capital spending on the Demonstration Plant and long-lead items for the first commercial plant. No financing cash flow was reported for the quarter.
  • Total liabilities were $149.7 million, including $10.5 million of current liabilities. The filing reports no conventional borrowings or debt balance; warrant and earnout liabilities are fair-value liabilities.

Changes and comparability

Revenue fell from an immaterial $50,000 to zero. Operating loss widened, while the loss attributable to NET Power Inc. narrowed because $30.2 million of the consolidated net loss was allocated to redeemable non-controlling interests. Comparisons with Q1 2023 require caution: the 2024 Successor financial statements reflect acquisition accounting and a fair-value step-up after the June 2023 Business Combination, while Q1 2023 is a Predecessor period and is not presented on the same basis.

Outlook, commitments, and risks

  • Management targets initial power generation from a planned 300 MWe first utility-scale plant between the second half of 2027 and first half of 2028. The proposed project is expected to be at an OXY-hosted site in the Permian Basin and integrate power production with carbon dioxide transportation and storage.
  • Before construction, the project requires further siting and permitting, a front-end engineering design study, supply and offtake contracts, financing, a final investment decision, and engineering, procurement, construction, and commissioning work.
  • Management believes available cash and investments can fund obligations for at least the next 12 months. It also cautions that additional funding may be needed to build the first utility-scale plant and develop further opportunities; future operating cash use is expected to increase before material operating inflows begin.
  • Unrecognized purchase commitments totaled $166.0 million gross, including asset purchases and cash and share-based BHES JDA commitments; $128.8 million remained at March 31, 2024. These commitments are not all recorded as balance-sheet liabilities.
  • Key risks include technical and demonstration-plant cost overruns, construction and supply-chain delays, commercialization and financing challenges, competition, and the capital-intensive nature of the business. Management reported that ordinary-course legal matters are not currently expected to have a material adverse effect.

Important facts for investors to verify

  • Progress, financing structure, permits, contracts, and schedule for the first commercial plant, including whether the 2027–2028 generation target remains achievable.
  • Actual cash burn and capital spending relative to management’s 12-month liquidity assessment, and whether additional capital will be required.
  • Performance and cost of the Demonstration Plant and progress against BHES JDA development milestones and commitments.
  • How acquisition-related amortization and fair-value changes in warrant and earnout liabilities affect reported losses, and the substantial non-controlling ownership interest in OpCo.
  • Potential dilution from warrants, OpCo unit exchanges, equity compensation, and BHES share-based payments.
