Revenue increased 5% year over year: Consumer revenue rose to $40.3 million from $38.9 million, Institutional revenue to $8.5 million from $6.5 million, while Other revenue fell to $0.3 million from $1.5 million. Gross margin declined about 90 basis points. Operating expenses decreased 15% to $45.3 million, chiefly reflecting lower sales and marketing expense.
Material changes and unusual items
- Operating loss narrowed by $9.3 million, but net loss remained broadly similar because the non-cash unrealized loss on warrants and earnouts increased to $21.7 million from $11.0 million. This mark-to-market charge substantially widened the gap between operating loss and net loss.
- Cash from operations improved by $7.7 million year over year, supported by operating efficiencies and working-capital movements, including the timing of receivables collections. Lower deferred revenue partially offset those benefits.
- Derivative liabilities increased to $33.7 million from $12.1 million at year-end, including $20.9 million of earnout liabilities. Total liabilities rose to $71.2 million from $51.6 million, primarily reflecting these fair-value changes.
- Consumer Learning Memberships are a key part of the transition toward recurring revenue. The company reported 32,900 Active Members at March 31; prior-year comparable data was not provided because the memberships were broadly introduced in Q2 2022. Active Experts were 10,200, down 10% year over year.
Outlook, commentary, and risks
Management said it expects continued improvement in sales and marketing leverage as Learning Memberships gain share and the Institutional business scales, and expects to simplify operations while growing during 2023. It stated that cash on hand should cover cash requirements over the next 12 months. No numerical revenue, earnings, or cash-flow guidance was provided.
Management attributed growth to Learning Membership adoption, expansion in customer lifetime value, Consumer growth, and Institutional scaling. It noted lower Institutional gross margin due in part to higher-than-anticipated engagement with newer offerings. The company continues to incur cumulative losses. Disclosed risks include execution of the membership transition and Institutional growth, competition and economic conditions, contractor classification, intellectual-property and cyber risks, issues involving learners who are minors, securities and warrant terms, and potential Tax Receivable Agreement payments. No material changes to previously disclosed risk factors were reported. Management concluded disclosure controls were effective as of March 31, 2023.
Important facts for investors to verify
- Whether recurring Learning Membership revenue and Institutional growth can continue while maintaining or improving gross margin.
- How much of reported losses reflects non-cash warrant and earnout remeasurement, and how changes in share price may affect future results and liabilities.
- Whether positive operating cash flow is sustainable, given the contribution from working-capital timing and the decline in deferred revenue.
- The potential timing and amount of the Tax Receivable Agreement: the filing cites $110.6 million of possible liability not recognized because payment was not considered probable based on estimated future taxable income.
- Whether cash remains sufficient as the company funds operations and growth; management reported no debt obligations at March 31, 2023.
