Guidance, Outlook, Risks and Unusual Items
Management expected 2012 revenue, excluding foreign-exchange effects and unforeseen events, to increase modestly in excess of weighted-average nominal GDP growth in major markets. Based on exchange rates at July 13, 2012, management expected foreign exchange to reduce full-year 2012 revenue by approximately 3%.
Management targeted improvement in full-year 2012 EBITA margins toward 2007 levels and expected to continue pursuing acquisitions, emerging-market expansion, technology capabilities, operational consolidation and cost efficiencies.
Key risks include global economic weakness, especially in Europe; reductions in client spending or payment delays; foreign-currency volatility; credit-market disruption; client defaults on media and production commitments; competition for clients and personnel; information-technology reliance; regulatory changes; legal proceedings; and assumptions used in goodwill impairment testing. Management reported no material change to previously disclosed risk factors.
Goodwill was $8,599.6 million at June 30, 2012. The annual impairment test found no impairment, and management stated that the lowest reporting-unit fair value would need to decline approximately 70% to fail the initial test. The conclusion remains sensitive to revenue growth, operating margins, discount rates and other valuation assumptions.
The next cash put date for the 2032 convertible notes was July 31, 2012, and the next put date for the 2038 convertible notes was June 17, 2013. Management expected available cash and credit commitments to fund any required repurchase under its current financial condition.
Unrecognized tax benefits were $157.2 million at June 30, 2012, of which approximately $60.0 million would affect the effective tax rate if resolved. The company reported that pending legal proceedings were not expected to have a material adverse effect.
