Q3 sales increased 12%, net income 10%, and diluted EPS 12% year over year. Nine-month sales rose 13%, net income 8%, and diluted EPS 9%. Q3 sales growth reflected higher volume and favorable product mix/pricing, partly offset by currency effects. The stronger U.S. dollar reduced sales by approximately $52.7 million in Q3 and $126.9 million year to date. Gross margin fell 126 basis points in Q3 and 122 basis points year to date, with currency, unfavorable mix, higher promotions, and motorcycle production scale-up costs among the factors cited. Operating expenses were 13.2% of sales in Q3 versus 14.0%.

Sales mix and operating performance

  • Q3 motorcycle sales increased 154%, mainly on higher Indian Motorcycle and Slingshot shipments; ORV sales rose 3%, snowmobile sales 14%, and Global Adjacent Markets sales 10%.
  • North American consumer retail sales grew 7% in Q3. International sales rose 1%, including 50% growth in Latin America, while EMEA and Asia/Pacific sales declined.
  • Polaris reported new reportable segments in this quarter: ORV/Snowmobiles, Motorcycles, and Global Adjacent Markets. Comparative segment data is presented in the filing.

Cash, debt, and liquidity

  • At September 30, 2015, cash and cash equivalents were $225.3 million, versus $137.6 million at December 31, 2014. Current assets were $1,271.6 million and current liabilities $909.6 million.

  • Total debt, capital leases, and notes payable were $316.6 million, including $77.2 million drawn on the $500 million revolving facility. Polaris reported $422.8 million of revolver availability and compliance with debt covenants. Debt to total capital was 25%, versus 22% at September 30, 2014.
  • Management said cash, operating cash generation, and available borrowing capacity should fund operations, product development, dividends, repurchases, and capital requirements for the foreseeable future.

Outlook, risks, and other notable items

  • Management expected 2015 capital expenditures of approximately $250 million. A 725,000-square-foot off-road vehicle plant in Huntsville, Alabama was under construction, with completion expected in Q2 2016. The filing provides no clear formal full-year sales or earnings guidance.
  • Management expected foreign currencies to weigh on 2016 results under then-current conditions. Currency impacts were already material to 2015 sales and gross profit. Commodity prices were expected to benefit gross margins for the remainder of 2015; diesel hedges covered about 60% of the remaining-year exposure.
  • Polaris repurchased about 1.752 million shares for $247.8 million in the first nine months, and had authorization for a further 3.298 million shares. The Board declared a $0.53 per-share dividend payable December 15, 2015.
  • Polaris accrued $19.7 million for probable pending product-liability claims. Its 2015 agreement to repurchase repossessed products from its dealer-financing joint venture had a potential annual maximum of approximately $146.4 million; the company reported no material losses under the arrangement.
  • GECC announced an agreement to sell its interests in Polaris Acceptance to Wells Fargo, with closing expected in Q1 2016; Polaris said the sale was not expected to affect the partnership’s operations. Other identified risks include foreign exchange, product liability, warranty costs, weather, commodities, competition, and consumer and dealer credit conditions.
  • Year-to-date other expense, net, was $8.8 million, compared with income of $3.7 million in the prior-year period; management attributed the change primarily to foreign-exchange movements. The filing also reports a $2.5 million year-to-date loss on non-designated diesel fuel derivative contracts.
