Segments and operating drivers
- Electric Power: Revenue $2,327.0 million, down 0.4%; operating income $228.0 million, margin 9.8% versus 9.2%. Revenue softness in distribution was partly offset by acquisitions; improved margins reflected project mix and telecommunications work.
- Renewable Energy: Revenue $1,584.2 million, up 57.1%; operating income $74.8 million, margin 4.7% versus 3.5%. Growth reflected higher demand for renewable generation and transmission work. U.S. solar project productivity reduced current-period margins.
- Underground and Infrastructure: Revenue $1,120.7 million, up 3.3%; operating income $46.9 million, margin 4.2% versus 5.7%. Lower Canadian pipeline revenue and a $10.7 million loss on disposal of a non-core business weighed on results.
Liquidity, cash flow and debt
- Cash and cash equivalents were $531.1 million at quarter-end, down from $1,290.2 million at December 31, 2023. Cash, cash equivalents and restricted cash declined $761.7 million during the quarter.
- Operating cash flow was $238.0 million. Investing used $386.6 million, including $384.1 million for acquisitions; financing used $603.0 million, including $504.5 million of net repayments under the credit facility and commercial paper program.
- Available credit-facility commitments plus cash totaled $2,583.7 million. The company reported $2,052.7 million of available commitments under its senior credit facility; it was in compliance with financial covenants.
- Debt includes $500 million of 0.950% senior notes due October 2024. The senior credit facility matures October 2026; its weighted-average borrowing rate was 6.80% in Q1, versus 5.99% a year earlier.
- Quanta paid $13.7 million in dividends and declared a $0.09-per-share dividend. Its $500 million repurchase authorization had $499.7 million remaining; no open-market repurchases were reported in the quarter.
Material changes and other key disclosures
- Remaining performance obligations were $14.88 billion, up 7.1% from year-end; backlog was $29.90 billion, down 0.7%. Management attributed the RPO increase to new awards and the backlog decrease mainly to completed MSA work. MSA estimates are not firm customer volume commitments; MSAs represented 52% of total backlog.
- Fixed-price work accounted for 53.1% of revenue versus 43.7% a year earlier, increasing exposure to cost-estimation and execution risk. Revenue from the U.S. increased to 90.8% of total, from 82.8%.
- Three businesses were acquired during the quarter for estimated total consideration of $449.2 million, including cash, stock and contingent consideration. An additional U.S. transmission-equipment business was acquired in April for approximately $72 million.
- A $12.2 million gain was recognized on the sale of a non-integral equity-method investment. Q1 income also reflected a $21.6 million tax benefit from equity awards vesting above grant-date fair value; the effective tax rate was 14.3%, compared with a 3.7% tax benefit in Q1 2023.
- Unapproved change orders and claims included in contract assets totaled $774.8 million. The largest component relates to a Canadian renewable transmission project; a customer represented 10% of consolidated receivables, including contract assets. Management said a large U.S. solar project reduced gross profit by $21.9 million.
Outlook, risks and contingencies
- Management expects strong demand to continue, citing utility grid modernization, reliability and hardening programs; renewable generation and associated transmission; and gas utility and downstream industrial spending. The filing provides no numerical full-year guidance.
- Management expects cash from operations, cash on hand, borrowing capacity and access to capital markets to be sufficient for cash requirements over the next 12 months and longer term. Results are seasonal, and first-quarter results are not necessarily indicative of the full year.
- Key risks include project delays or cancellations, weather and wildfire exposure, labor and supply constraints, inflation, customer funding and payment, and cost overruns on fixed-price contracts. Management highlighted ongoing monitoring of renewable-component availability and costs.
- Peru dispute: An arbitration tribunal awarded Redes approximately $177 million, but collection remains uncertain amid court proceedings expected to continue. Quanta has received $107.2 million from insurers and records a related liability; it has not recognized additional gains on the award. Failure to collect could result in a significant additional loss.
- Silverado wildfire litigation: Quanta subsidiaries face defense and indemnity demands related to lawsuits involving the 2020 California fire. No accrual was recorded, and the company cannot estimate a reasonably possible loss range; insurance coverage and ultimate liability remain uncertain.
- The company reported no material changes to previously disclosed risk factors or market-risk disclosures. Disclosure controls were assessed as effective; acquired businesses are being integrated into internal control processes.
