RADIAN GROUP INC annual report, FY2022

Radian Group Inc. — 2022 Form 10-K Summary

Reporting period: Fiscal year ended December 31, 2022. Although the request references 2022 Q4, this is an annual filing; the financial results below are for the full year unless otherwise noted.

Business context

Radian is a mortgage and real estate services company with two reportable segments: Mortgage, primarily private mortgage insurance and credit-risk services, and homegenius, which provides title, real estate and technology services. In July 2022, it launched Radian Mortgage Capital, a mortgage-loan conduit reported within All Other. The conduit had acquired only a limited number of loans and had not completed a securitization by year-end.

Mortgage: Segment adjusted pretax operating income was $1.132 billion, versus $781.5 million. Net premiums earned declined to $957.2 million from $998.3 million, while net investment income rose to $171.2 million from $132.9 million. The provision for losses was a benefit of $339.4 million, compared with $19.4 million of expense in 2021; favorable development on prior-year defaults was the principal driver. The reported loss ratio was negative 35.5%, versus 1.9% in 2021. Primary insurance in force rose to $261.0 billion from $246.0 billion; new insurance written fell 26% to $68.0 billion. The 12-month persistency rate increased to 79.6% from 64.3%.

homegenius: Segment adjusted pretax operating loss widened to $88.2 million from $27.3 million. Revenue declined to $110.0 million from $149.1 million, reflecting lower title and related activity, particularly as refinance volumes fell. The segment also incurred higher operating expenses, including severance and strategic technology investment.

Margins and reserves: Consolidated net income was approximately 62% of revenue, but this ratio reflects a large favorable mortgage loss-reserve development and investment valuation effects and should not be read as a recurring operating margin. Total loss and LAE reserves were $426.8 million at year-end, down from $828.6 million; mortgage insurance reserves were $421.0 million. Management reported no premium deficiency reserve at year-end.

Liquidity, capital and debt

  • Holding-company available liquidity was $903 million at December 31, 2022, up from $605 million a year earlier; including the undrawn $275 million revolving credit facility, total liquidity was approximately $1.2 billion.
  • Senior notes had a carrying value of $1.414 billion: $450 million due 2024, $525 million due 2025 and $450 million due 2027. Other borrowings were $155.8 million, primarily FHLB advances. The $275 million revolver was undrawn, and the company reported compliance with its debt covenants.
  • Debt-to-capital was 26.5%, versus 24.9%. Book value per share increased to $24.95 from $24.28, while stockholders’ equity declined to $3.919 billion from $4.259 billion, mainly due to unrealized investment losses, repurchases and dividends.
  • Radian Guaranty’s PMIERs cushion was $1.7 billion, or 45% above minimum required assets, versus $2.1 billion at year-end 2021. Its risk-to-capital ratio was 10.7:1, within applicable requirements. Statutory claims-paying resources for the mortgage insurance subsidiaries totaled $5.7 billion.
  • Radian repurchased 19.5 million shares for $400 million and paid $137 million in dividends during 2022. The quarterly dividend increased from $0.14 to $0.20 per share in 2022; in February 2023, the board raised it to $0.225 and authorized a new $300 million repurchase program.

Material changes, outlook and commentary

  • Higher interest rates and inflation reduced mortgage originations, refinance activity and homegenius title revenue. Management also cited slower growth, falling home prices and recession and unemployment risks. Higher rates supported persistency and investment income, but reduced investment fair values.
  • Net investment income increased, but net losses on investments and other financial instruments were $80.7 million, versus net gains of $15.6 million in 2021. Available-for-sale securities had $581 million of gross unrealized losses at year-end. Management said it intended and was able to hold the securities until recovery of amortized cost and did not expect to realize losses on securities in an unrealized-loss position.
  • Management forecast industry mortgage originations of approximately $1.8 trillion in 2023, about 23% below 2022, and estimated a 2023 private mortgage insurance market of $275 billion to $325 billion. These are market estimates, not company earnings or revenue guidance. The filing provides no specific company-wide earnings guidance.
  • Radian entered a new quota-share reinsurance agreement in 2022 and completed the novation of Radian Reinsurance’s GSE credit-risk-transfer portfolio to a third party before merging Radian Reinsurance into Radian Guaranty. The actions included $782 million of capital distributions from Radian Guaranty and repayment of a $100 million surplus note; they improved Radian Guaranty’s unassigned surplus and enabled ordinary dividends beginning in 2023, subject to regulatory limits.
  • The company recorded $14.7 million of severance and related costs and $14.9 million of impairment and other non-operating items in 2022. Management said the workforce was approximately 30% smaller as of February 22, 2023, than at year-end 2021.
  • Key risks include mortgage defaults and reserve-estimation uncertainty, housing and employment deterioration, GSE/PMIERs and state-capital changes, availability and effectiveness of reinsurance, competition and customer concentration, investment-market volatility, and liquidity, collateral and covenant exposure tied to the new mortgage conduit. Management said pending or threatened legal matters were not expected to materially harm consolidated financial condition, while noting outcomes remain uncertain.

Investor verification priorities

  • Assess how much of 2022 earnings growth came from favorable reserve releases, and whether future default cures, claims and reserve assumptions support that development.
  • Review the $581 million unrealized investment loss, interest-rate and credit-spread sensitivities, and the implications for equity, book value and liquidity if securities must be sold.
  • Track PMIERs cushion, the diminishing COVID-related capital-charge benefit, reinsurance recoverability and any changes to GSE capital or eligibility requirements.
  • Evaluate homegenius losses, customer concentration and whether new technology products and the mortgage conduit can achieve scale and positive returns; confirm conduit funding, collateral and parent-guarantee exposure.
  • Monitor holding-company cash needs, debt maturities in 2024–2027, regulatory limits on subsidiary distributions, and the sustainability of dividends and repurchases.
  • Note that the auditor issued an unqualified opinion on the financial statements and internal controls; valuation of first-lien primary mortgage insurance case reserves was identified as a critical audit matter requiring significant judgment.
