GAAP gross margin declined to 21.6% from 24.5%; net margin, as defined by the company, declined to 22.7% from 26.1%. Net transportation revenue rose to $58.9 million from $42.1 million, but its margin fell to 21.3% from 24.8%, reflecting higher purchased transportation costs amid tight capacity in ocean, intermodal and trucking markets. Value-added services revenue increased 53.3% to $9.2 million, with net margin improving to 65.1% from 64.1%.

Revenue growth was attributed primarily to increased business volume. U.S. segment revenue was $250.4 million and Canadian segment revenue was $35.8 million. Management said higher net revenue drove the increase in earnings, partly offset by higher operating costs. Personnel and SG&A costs increased in dollars but declined as a percentage of net revenue versus the prior-year quarter.

Liquidity, cash flow and debt

  • Cash was $9.5 million at September 30, 2021, down from $13.7 million at June 30, 2021. Current assets were $208.2 million and current liabilities were $136.7 million.
  • Operating cash use was $15.8 million, principally reflecting increases in accounts receivable and contract assets, along with tax and other working-capital movements. Investing cash use was $1.5 million, primarily for property, technology and equipment. Financing provided $11.8 million, including net revolver borrowing.
  • Notes payable totaled $42.1 million, including $30.0 million drawn on the $150 million revolving credit facility and $12.3 million in senior secured loans. Notes payable were $28.4 million at June 30, 2021. The revolver matures in March 2025; the company reported covenant compliance. Operating and finance lease liabilities totaled $42.2 million.
  • Management said working capital, expected operating cash flow and access to the revolving facility were adequate to fund existing operations for the next 12 months.

Material developments, outlook and risks

  • Capacity and pandemic uncertainty: COVID-19 effects remained unpredictable, and management noted tight transportation capacity and related cost pressure. Further pandemic developments, including new variants, could affect operations and financial results.
  • Working-capital demands: The sharp increase in receivables and contract assets contributed to negative operating cash flow despite higher earnings. The filing describes the business as dependent on operating cash flow and revolver access for liquidity.
  • Internal controls: Management concluded disclosure controls were not effective at September 30, 2021 because of material weaknesses in controls over recording and processing revenue and calculating operating partner commissions. No revision of previously issued financial statements resulted; remediation work was underway.
  • Operating partner exposure: The company disclosed that some strategic operating partners had deficit bad-debt reserve balances. If partners cease operations or cannot replenish deficits, the company could incur losses.
  • Acquisition obligations: Estimated contingent consideration was $7.3 million, with payments scheduled across fiscal 2022–2024. Actual earn-outs may change with acquired businesses’ results and assumptions.
  • Other items: All $5.9 million of PPP loans had been forgiven. The filing discusses potential repayment or penalties if eligibility were later challenged. No potentially material legal proceedings were reported. The company repurchased 254,894 shares for $1.7 million during the quarter and purchased an additional 94,051 shares for $0.6 million through November 9, 2021.
  • Guidance: The filing provides no specific numerical earnings or revenue forecast. Management described organic growth and complementary acquisitions as strategic priorities, subject to the risks and uncertainties identified in the filing.

Important facts for investors to verify

  • Whether revenue growth and earnings gains persist while transportation capacity remains tight and margins are below the prior-year period.
  • Whether receivable and contract-asset growth converts to cash, and how liquidity and revolver borrowings develop.
  • Progress and effectiveness of the remediation plan for the disclosed material weaknesses in revenue and commission controls.
  • Operating partner deficit-reserve exposure, contingent earn-out obligations, and continued compliance with debt covenants.
  • The continuing effects of COVID-19, transportation costs, and any changes in acquisition or capital-allocation plans.
