System1, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter report; the filing does not provide a clear standalone Q4 income statement. Unless stated otherwise, amounts are in U.S. dollars.
Business context and reporting period
System1 operates RAMP, an omnichannel digital customer-acquisition and advertising platform, through two continuing reportable segments: Owned and Operated Advertising (O&O) and Partner Network. On November 30, 2023, the company sold Protected, its subscription software business, and reports it as discontinued operations. The company says its fourth quarter is historically its strongest period for advertising activity.
Comparisons with 2022 require care: the merger created a new accounting basis, and the reported 2022 Successor period covers January 27 through December 31, rather than the full calendar year. The filing also revised previously issued 2022 financial statements for errors it characterized as immaterial.

O&O revenue was pressured by weaker advertiser and consumer demand and fewer acquired sessions. Partner Network growth reflected investment and traffic from newer partners, partly offset by lower monetization per session. Interest expense rose to $48.7 million, primarily due to higher rates. Adjusted gross profit is a company-defined measure; the filing does not present it as GAAP gross profit.
Material changes, outlook, risks, and unusual items
- Protected sale: Consideration included $240.0 million cash, subject to adjustments, cancellation of approximately 29.1 million Class A shares, and confirmation that up to $60.0 million of merger-related Protected earnouts would no longer be achievable. The company reported a $180.3 million net cash inflow after transaction expenses and debt payoffs. Protected generated $190.1 million revenue and a $174.3 million net loss from discontinued operations in 2023. Sale-related impairment charges totaled $118.8 million.
- Debt reduction after year-end: On January 17, 2024, System1 repurchased $63.7 million principal of Term Loan debt for $40.9 million, leaving $301.3 million principal outstanding. The company reported an approximately $19.7 million gain before fees and expenses. Quarterly Term Loan principal and interest payments were approximately $5.0 million and $6.6 million, respectively; the loan matures in 2027 and bears interest at adjusted SOFR plus 4.75%.
- Going concern and liquidity: The company said the Protected sale proceeds, cost reductions and forecast operating cash flows alleviated the substantial doubt about going concern previously identified in 2023. Management believes resources are sufficient for the 12 months following issuance. That assessment depends on forecasts; the company recorded a $285.6 million net loss and used $24.7 million of operating cash in 2023. Headcount reductions were expected to produce approximately $14.5 million in annualized cash savings.
- Partner concentration: Google accounted for 85% of 2023 revenue. Google agreements were stated to run through February 28, 2025 and March 31, 2024; the Microsoft agreement through June 30, 2025. Either Google agreement may be terminable in certain circumstances, and Google may change policies and monetization terms.
- Financial reporting controls: Management concluded internal control over financial reporting and disclosure controls were ineffective at year-end because of unremediated material weaknesses involving staffing and segregation of duties, complex transactions, accounting policies, goodwill, equity and financial instruments, and IT general controls. The filing describes prior-period restatements and revisions; management says the identified weaknesses were not remediated as of December 31, 2023.
- Other risks and contingencies: Key risks include advertising-market conditions, traffic acquisition costs, reliance on major platforms and network partners, privacy and data regulation, cybersecurity, competition, and variable-rate debt and covenant compliance. A putative California class action alleges auto-renewal law violations relating to Protected subscriptions; the company disputes the claims. Management says ordinary-course proceedings are not expected to materially affect results, while cautioning that outcomes are uncertain.
- Guidance: The filing provides no specific revenue or earnings guidance. Management’s outlook is qualitative and includes its 12-month liquidity assessment. The company does not expect to pay cash dividends in the foreseeable future.
Investor verification priorities
- Confirm the revenue comparison basis: the filing’s 2022 Successor period is not a full-year comparable period, and the segment table’s stated percentage changes do not directly match a simple comparison of the displayed total-revenue figures.
- Review the Term Loan’s current principal, interest burden, leverage covenant triggers, revolver availability and compliance after the January 2024 tender offer.
- Assess whether cash generation, lower acquisition costs and headcount savings support management’s stated 12-month liquidity outlook.
- Monitor Google agreement renewals, concentration exposure, and any changes in search-ad policies or economics; verify the status of the agreement stated to expire March 31, 2024.
- Track remediation and testing of material weaknesses, and review subsequent interim filings for the promised revisions to 2023 quarterly financial statements.
- Evaluate the continuing business after the Protected disposal, including O&O session economics, Partner Network monetization, and any continuing obligations or costs connected with the sale.
