Capital expenditures were $71.4 million, and management planned approximately $80 million for 2021.

Fourth-quarter 2020 sales were $809.3 million, operating income $143.8 million, net income $132.1 million and diluted EPS $3.48, compared with $834.2 million, $133.8 million, $115.7 million and $3.06, respectively, in fourth-quarter 2019. The longer 2020 quarter affects comparability.

Material changes versus the prior comparable period

  • Annual sales fell 2.4%, while net income was essentially flat. Cost of sales declined less than revenue, increasing its share of sales from 60.7% to 61.7%.
  • Aerospace and Defense Electronics sales fell 14.6% to $589.4 million and operating income fell 43.7% to $80.8 million, reflecting commercial aerospace weakness amid COVID-19 and $18.3 million of higher severance, consolidation and unfavorable contract-estimate costs.
  • Engineered Systems sales rose 10.9% to $416.3 million and operating income rose 37.3% to $50.1 million, supported by higher program sales and a greater mix of higher-margin fixed-price manufacturing work.
  • Instrumentation sales declined 1.0%, but operating income increased 6.4% to $213.2 million. Digital Imaging sales declined 0.7%, while operating income increased 9.2% to $192.8 million.
  • Operating cash flow increased by $136.8 million, partly due to timing of receivable collections, acquisition cash flows and $35.6 million lower income-tax payments.

Outlook, commentary, risks and unusual items

  • Management said 2020 produced the Company’s best operating margin and cash flow to date. Manufacturing sites remained operational during COVID-19; the Company reduced headcount by 9.8% across selected businesses, including to reduce exposure to weak commercial aerospace markets. Related severance and facility-consolidation charges totaled $20.8 million; $2.1 million remained payable at year-end.
  • Funded backlog was approximately $1.70 billion at year-end, broadly unchanged from 2019; the Company expected to fulfill more than 77% during 2021. Remaining performance obligations were $1.839 billion, with approximately 77% expected to be recognized within 12 months. These are expectations, not earnings guidance.
  • On January 4, 2021, after the fiscal year-end, Teledyne agreed to acquire FLIR Systems in a cash-and-stock transaction valued at approximately $8.0 billion. Closing was expected in mid-2021, subject to regulatory and shareholder approvals and other conditions. Teledyne arranged a $4.5 billion 364-day credit commitment and expected to use equity, cash and permanent debt financing. Risks include financing, increased leverage, integration, cost and synergy execution, transaction completion and a possible $250 million termination fee in specified circumstances.
  • 2020 included $33.3 million of pretax charges, primarily severance, facility consolidation, acquisition costs and contract-estimate changes. Net discrete tax benefits were $34.6 million; the reported effective tax rate was 14.4%, versus 21.8% excluding those discrete benefits.
  • Other significant risks include continuing pandemic effects; commercial aerospace and oil-and-gas cyclicality; government funding, contract awards and fixed-price cost exposure; international trade restrictions and export controls; supplier concentration; cybersecurity; foreign exchange and interest rates; and environmental liabilities. Environmental reserves were $6.5 million. Management did not consider pending litigation likely to materially affect financial condition or liquidity.

Important facts for investors to verify

  • Whether the FLIR acquisition closed on expected terms and timing, and the resulting debt, dilution, integration costs and realized synergies.
  • Whether commercial aerospace demand recovered and whether Teledyne’s Aerospace and Defense Electronics margins improved after the 2020 decline.
  • How much of the increase in operating cash flow was recurring versus attributable to collection timing and lower tax payments.
  • Whether favorable over-time contract estimate changes—$14.6 million of operating income in 2020—are sustainable; contract estimates are a key judgment area and were identified as a critical audit matter.
  • Whether backlog and remaining performance obligations converted to sales as expected, and whether government program funding and contract awards were maintained.
