The income-tax benefit was $41.6 million, producing a 161.0% effective tax rate, largely reflecting the tax benefit associated with the pension charge. Cash from continuing operations less capital expenditures was approximately $74.4 million.

Balance sheet and liquidity

At March 31, 2024, cash and cash equivalents were $237.4 million. Current assets were $1.434 billion and current liabilities were $571.0 million. Current and long-term borrowings totaled $1.759 billion, down from $1.815 billion at December 31, 2023; cash less borrowings was approximately $(1.521) billion. Shareholders’ equity was $4.503 billion. The company reported a 4.7% average interest rate on debt for the quarter, versus 4.0% a year earlier.

Operating cash flow increased $28.5 million year over year, which management attributed mainly to favorable operating results and lower inventory cash outflows, partly offset by higher receivables and lower payables and accrued expenses. Investing activities used $24.8 million, including capital expenditures and offsetting swap proceeds. Financing activities used $71.4 million, including $57.1 million of debt reduction and $16.0 million of dividends. Management said available cash, operating cash flow and revolving-credit-facility availability are expected to fund operating needs, capital expenditures and debt obligations for the next 12 months and foreseeable future.

Material changes and management commentary

  • Revenue growth reflected higher existing-product volumes, price increases and new products. EMEA revenue rose 11.4%, Asia 7.0% and OEM 13.9%; Americas revenue fell 1.4%.
  • Segment operating profit was $154.4 million, up 1.3%, but consolidated operating results were reduced by the pension settlement charge and other unallocated expenses. Americas and Asia segment operating profit declined; EMEA and OEM increased.
  • SG&A rose $10.1 million, primarily from Palette acquisition operating costs, higher legal expenses and IT costs. R&D declined $4.2 million, primarily due to lower EU Medical Device Regulation costs.
  • Teleflex acquired Palette Life Sciences in Q4 2023 for an initial $594.9 million, with up to $50 million of potential sales-based milestone payments. Purchase accounting and closing-statement adjustments remain incomplete.
  • In May 2024, the company committed to a new footprint realignment plan, a subsequent event after quarter-end. Estimated charges are $33–$40 million, expected cash outflows $26–$32 million and capital expenditures $12–$15 million. Management expects annual pretax savings of $7–$9 million once fully implemented, beginning to be realized in 2026; product rationalization may partly offset savings.
  • Existing 2023 restructuring plans are estimated to cost $26–$34 million in aggregate and are expected to generate annual pretax savings of $31–$39 million once fully implemented.

Outlook, risks and contingencies

The filing does not provide a clear company-wide revenue or earnings guidance range. Management’s stated outlook includes the restructuring savings and timing described above. Key risks identified include customer and supplier changes, demand and pricing, inflation and supply-chain disruption, labor and raw-material costs, acquisition integration, restructuring execution, reimbursement and regulatory changes, currency and interest-rate movements, and broader economic and geopolitical conditions.

  • Italian medical-device payback: A $15.1 million reserve was recorded. If the law is enforced in its existing form, estimated payments could exceed the reserve by up to $23.3 million; related appeals remain pending.
  • Mexican customs audit: The company has not recorded a loss contingency because a loss was not considered probable or estimable; an unfavorable outcome could require duties, fines and surcharges and could be material.
  • Palette tax liabilities: A $3.5 million liability was established; an unfavorable reassessment outcome could require payment in excess of that amount and could be material.
  • Environmental and legal matters: Environmental liabilities accrued were $5.1 million in total. Ordinary-course legal claims had $0.3 million accrued; management does not currently expect outstanding matters to be material, while noting unfavorable developments could have an adverse effect.
  • Teleflex reported compliance with the stated debt covenants and no significant changes to its previously disclosed risk factors for the quarter.
