Trilogy has no material debt reported; liabilities primarily comprise accounts payable, accrued liabilities and office lease obligations. The current lease liability was $0.13 million. Operating margin is not meaningful because the company had no revenue.

Ambler Metals had $72.8 million in cash and $71.8 million in working capital at May 31, 2023. Its six-month comprehensive loss was $6.2 million; Trilogy recorded its 50% share of loss of $3.1 million. Project-related costs are funded by Ambler Metals, not directly by Trilogy.

Material changes versus comparable periods

  • Quarterly loss narrowed by about $1.3 million year over year, principally due to lower share of Ambler Metals’ loss and lower Trilogy stock-based compensation and salaries.
  • Six-month loss narrowed by about $1.2 million, reflecting a lower equity-method loss and reduced salaries and investor-relations costs, partly offset by higher professional fees and stock-based compensation.
  • Operating cash use declined by about $1.4 million year over year. Cash increased from year-end, helped by the April private placement.
  • On April 25, Trilogy issued 5.85 million shares at $0.55 per share, raising $3.2 million gross and $3.1 million net. Issued shares increased to 155.3 million at May 31.

Outlook, risks and unusual items

  • Management said Ambler Metals’ cash was sufficient to fund its fiscal 2023 UKMP and Ambler Access Project budgets, and Trilogy did not expect to contribute further until Ambler Metals’ cash is expended. Ambler Metals’ approved 2023 Ambler Access Project budget was $12.3 million; the total program budget of $24.6 million is funded equally by AIDEA and Ambler Metals.
  • The BLM revised its anticipated schedule for the supplemental environmental impact statement: draft in Q3 2023, final in Q1 2024, and Record of Decision in Q2 2024. Permitting and access-road timing remain significant uncertainties for project development.
  • Trilogy reported $4.2 million of cash and said it was using cash-preservation measures, including reduced marketing and conference spending and settling director fees and some management salaries in shares. After quarter-end, director fees of approximately $79,000 and management salaries of approximately $155,000 were settled through immediately vesting share units.
  • Key risks include obtaining permits and building the Ambler access road, financing future exploration and development, commodity-price volatility, resource-estimate uncertainty, cost inflation, and potential impairment of the Ambler Metals investment. Management judged the access-project delay temporary when considering impairment indicators; no impairment charge was reported for the period.
  • Management stated that disclosure controls were effective and reported no material changes in internal control over financial reporting. No material changes to the Form 10-K risk factors were reported; no material current, pending or threatened litigation was identified.

Important facts for investors to verify

  • Monitor BLM SEIS milestones and the permitting status and funding of the Ambler Access Project.
  • Assess Ambler Metals’ cash burn, project budgets and whether future funding will be required from Trilogy or South32.
  • Review assumptions supporting the $139.8 million carrying value of the Ambler Metals investment and any impairment indicators.
  • Track Trilogy’s cash use, financing needs and dilution from share issuances and equity-settled compensation; 155,559,334 common shares were outstanding as of July 14, 2023.
  • Confirm that project schedules, budgets, resource estimates and financing assumptions remain current; the filing cautions that forward-looking statements are subject to substantial uncertainty.
