Segments and material changes

Total medical enrollment increased by 6.4 million, including 4.4 million people added through the Amil acquisition. Commercial risk-based membership declined 2%, while commercial fee-based membership grew 8%.
  • Optum: Combined segment revenue increased 3% to $29.39 billion and operating earnings increased 14% to $1.44 billion. OptumInsight operating earnings rose 27%; OptumRx revenue declined 5% and operating earnings fell 14%, mainly reflecting lower Medicare Part D prescription volumes and growth investments.
  • Standalone Medicare Part D membership declined by 630,000; the company attributed much of the reduction to losing about 470,000 auto-assigned low-income members after bids exceeded government pricing thresholds.
  • UnitedHealth Group acquired approximately 65% of Brazil-based Amil in 2012 for approximately $3.5 billion. The acquisition added $7.36 billion of goodwill; the company planned a tender offer for a further 25% in the first half of 2013. Purchase price allocation remained subject to adjustment.

Outlook, commentary and risks

  • No consolidated numerical earnings or revenue guidance for 2013 is provided in the text. Management anticipated highly competitive commercial pricing, continued pressure on commercial risk-based membership, and pressure on Medicare and Medicaid margins from government rates. It expected 2013 medical cost trend to increase slightly from 2012’s level, which was under 5.5% for commercial business.
  • Management expected OptumRx to bring approximately 12 million UnitedHealthcare commercial members onto its platform during 2013. The TRICARE West contract was expected to begin operations April 1, 2013; the base administrative services contract was expected to generate $1.4 billion over five years.
  • Management highlighted the uncertain effects of health reform, including 2014 insurance-industry assessments, reinsurance fees, exchange-market changes, medical loss ratio rules and limits on premium increases. Medicare Advantage benchmark reductions and the potential effects of federal sequestration were also noted.
  • Key operating risks include medical-cost estimation and utilization, provider pricing, government program funding and contract renewals, regulatory audits and risk-adjustment data reviews, privacy and cybersecurity, competition, and integration and foreign-exchange exposure associated with Amil.
  • Contingency: California regulators were seeking approximately $325 million in penalties over claims-processing matters. The company disputed the allegations and said it could not reasonably estimate a loss range. Out-of-network reimbursement litigation and government reviews, including Medicare risk-adjustment audits, were also disclosed.

Important facts for investors to verify

  • Whether earnings growth remains solid after accounting for $860 million of favorable prior-period reserve development.
  • How the Amil tender offer, final purchase accounting, integration and Brazilian real exposure affect debt, cash flow and returns.
  • Progress and operating performance in the OptumRx transition for approximately 12 million members.
  • Actual effects of 2013–2014 health reform costs, government reimbursement changes, exchange participation and rate approvals on margins and enrollment.
  • Updates to the California penalty proceeding, Medicare risk-adjustment audits and other disclosed litigation or investigations.
  • The filing reports unqualified audit opinions on the consolidated financial statements and internal controls; the internal-control assessment excluded Amil, which represented 10% of consolidated assets and 1% of 2012 revenue.
