Reporting period: Three months ended March 31, 2022. Dollar figures are U.S. dollars in thousands unless noted. Vista is a gold-project evaluator and developer with no current cash flow from mining operations; its flagship asset is the permitted, wholly owned Mt Todd project in Australia.

Margins are not meaningful because the company reported no revenue. The loss improvement chiefly reflects a $2,883 gain on disposal of mineral-property interests, not operating revenue. The gain included the final $2,500 payment received in January to cancel Vista’s remaining Awak Mas royalty, plus release of a previously deferred $383 gain. Vista has no remaining Awak Mas royalty interest.
Cash declined by $273 during the quarter. The $2,500 Awak Mas receipt largely offset $2,773 of expenditures. Exploration, property evaluation and holding costs were $1,789, including $474 related to the Mt Todd feasibility study. Corporate administration was $1,401. No shares were sold under the ATM program in Q1; up to $10,000 remained available.
Business developments and changes
- Vista completed its Mt Todd feasibility study in February 2022 and appointed CIBC Capital Markets in March to advise on alternatives for the project.
- The feasibility study reported proven and probable reserves of 6.98 million ounces, up 19% from 5.85 million ounces in the 2019 pre-feasibility study. It described average annual production of 479,000 ounces in the first seven operating years and a 16-year mine life; these are study estimates, not current production or company guidance.
- The reserve increase reflected a higher gold-price assumption ($1,125/oz versus $1,000/oz) and a lower cut-off grade. Vista cited inflation in labor, reagents, grinding media and power costs, partly offset by lower core energy costs. A third-party power-provider approach was expected to reduce capital costs and certain project risks.
- Vista completed 26 exploration drill holes totaling approximately 8,898 meters by March 31 and was awaiting final assays. The company said results consistently intersected mineralization predicted by its model.
- All major Mt Todd operating and environmental permits had been received, including approval of the operational Mining Management Plan in June 2021. The plan is being updated for changes in the feasibility study.
Outlook, liquidity, and risks
- Management believes existing working capital, together with potential non-dilutive funding, can fund currently planned corporate expenses, project holding costs and discretionary programs for at least 12 months. This is a forward-looking estimate, not a guarantee.
- Fixed corporate and Mt Todd care-and-maintenance costs were expected to run at approximately $7,000 annualized. Potential discretionary programs for the rest of 2022 could add up to $600. Final vendor payments for the feasibility study and drilling were estimated at approximately $1,000 in Q2, nearly $600 of which was already accrued at March 31.
- Vista’s long-term viability depends on realizing value from Mt Todd, including securing a development partner or other financing or transaction. Management aims to limit spending and dilution; possible funding sources include non-core asset sales and the ATM program.
- If Vista gives notice that it intends to develop Mt Todd, it will assume historical rehabilitation liabilities currently estimated by the Northern Territory government at approximately A$73 million. A separate $240 provision relates to reclamation costs on certain previously held claims.
- Other principal risks include gold-price and cost inflation, financing and partner availability, reserve and feasibility-estimate uncertainty, permitting and development execution, third-party power reliance, environmental and water issues, and potential supply-chain or pandemic disruption. Vista reported no material change to the risk factors in its 2021 Form 10-K and no material pending or threatened litigation known to it.
- Vista said it expects to remain a passive foreign investment company (PFIC) for U.S. federal tax purposes. It reported effective disclosure controls and no material change in internal control over financial reporting.
Most important facts for investors to verify
- Feasibility-study assumptions and economics, including the reserve estimate, production profile, capital and operating costs, and sensitivity to gold prices and inflation.
- Final assay results from the Q1 drilling program and whether they support additional resources.
- Progress toward a strategic partner, financing, or other Mt Todd transaction, and the potential effect on funding needs and shareholder dilution.
- Cash burn, Q2 vendor payments, and whether management’s stated 12-month funding expectation remains supportable.
- Potential development-related reclamation exposure of approximately A$73 million and the conditions under which Vista would assume it.
