VISTA GOLD CORP quarterly report, Q1 FY2021

Vista Gold Corp. — Q1 2021 Form 10-Q

Business context and reporting period

Unaudited results for the three months ended March 31, 2021; balance-sheet comparisons are to December 31, 2020. Vista is an exploration-stage gold company focused on evaluating and advancing projects, principally its 100%-owned Mt Todd project in Australia. It reported no revenue and generates no cash flow from mining operations. Unless stated otherwise, dollar amounts are U.S. dollars in thousands.

Financial performance and position

  • Revenue: None in Q1 2021 or Q1 2020.
  • Net loss: $3.099 million, versus $3.500 million; basic and diluted loss per share were $0.03 in both periods.
  • Operating expenses: $3.077 million, up from $2.336 million. Exploration, property evaluation and holding costs rose to $1.751 million from $0.948 million; corporate administration declined to $1.315 million from $1.376 million.
  • Margins: Not meaningful because Vista had no revenue.
  • Cash flow: Operating cash outflow was $2.525 million versus $1.743 million. Investing activities provided $1.500 million, including the $1.100 million Los Reyes royalty-cancellation payment and $0.400 million from short-term investment dispositions. Financing activities provided $0.416 million as presented in the cash-flow statement. Cash decreased $0.609 million to $7.153 million.
  • Liquidity: Current assets were $8.072 million and current liabilities $2.201 million. The company reported working capital of $5.871 million; this includes a $1.168 million deferred option gain liability that management says will not require future working-capital use. Cash and short-term investments totaled $7.153 million at quarter-end.
  • Debt and assets: No debt. Total assets were $15.879 million and total liabilities $2.466 million. Shareholders’ equity was $13.413 million.
  • Equity: Vista issued 405,800 shares under its at-the-market program during the quarter. The filing reports $434,000 net proceeds in the share and ATM disclosures, but $610,000 of equity-financing proceeds in the cash-flow/MD&A discussion; see verification items below. Shares outstanding were 103,998,923 at March 31 and 104,148,923 at April 21, 2021.

Material changes versus the prior comparable period

  • Net loss improved by $401,000, primarily because investment losses were much lower: $30,000 versus $1.129 million in Q1 2020. The prior-period loss included a $998,000 unrealized loss on Midas Gold shares; all Midas shares had been sold before 2021.
  • Exploration and holding costs increased $803,000, including approximately $400,000 of additional Mt Todd drilling costs. Management also cited costs of pumping about 1.7 gigaliters of water from the Batman pit and the stronger Australian dollar.
  • Operating cash use increased $782,000 year over year, reflecting increased exploration and related costs.
  • Cash fell from $7.762 million at year-end 2020 to $7.153 million. Total liabilities increased to $2.466 million from $1.379 million, mainly due to the deferred option gain associated with the Los Reyes payment.

Outlook, management commentary, risks and contingencies

  • Management believes existing working capital, potential non-dilutive funding and limited ATM use can fund planned corporate expenses, Mt Todd holding costs and discretionary programs for at least 12 months. Beyond that period, viability depends on keeping spending low, monetizing assets and obtaining additional financing.
  • Vista planned further Mt Todd drilling and a technical report compliant with SEC Regulation S-K 1300. The Mining Management Plan operating permit was in final review; approval would complete the major permitting requirements, according to management. Vista continued seeking a strategic development partner, though COVID-19 had slowed those efforts.
  • Prime Mining paid $1.1 million in January toward the $2.1 million Los Reyes royalty-rights cancellation payment; the remaining $1.0 million was due in July 2021. If unpaid, Vista may reinstate royalty and back-in rights. The $1.1 million received was recorded as deferred option gain at quarter-end.
  • After quarter-end, the Awak Mas payment deadline for a further $2.5 million royalty cancellation was extended to no later than January 31, 2022, subject to extension fees. If the payment is not made, Vista retains the remaining royalty interests.
  • COVID-19, travel restrictions, gold-price volatility, permitting, project-development and funding risks could delay strategic initiatives or adversely affect liquidity. Vista cautioned that additional capital may be needed and may require equity issuance or other financing, with potential dilution. The company expects to remain a PFIC for U.S. federal tax purposes.
  • Vista recorded a $240,000 environmental reclamation provision. It reported no material pending or threatened litigation, no material changes to previously disclosed risk factors, no material contractual obligations and no off-balance-sheet arrangements.

Important facts for investors to verify

  • Reconcile the filing’s ATM/equity proceeds: $434,000 in the share and ATM disclosures versus $610,000 in the cash-flow statement and MD&A, including timing and classification.
  • Confirm receipt of the $1.0 million Los Reyes payment due in July 2021 and the status of the Awak Mas extension fees and potential $2.5 million payment by January 31, 2022.
  • Track Mt Todd drilling results, the Mining Management Plan approval and the SEC S-K 1300 technical report; the filing states Mt Todd had no known mineral resources or reserves under S-K 1300 pending completion of the report.
  • Assess cash burn against management’s at-least-12-month funding estimate, planned discretionary spending and any further ATM or other equity issuance.
