Profitability and operating margins are not meaningful because the company had no revenue. The 2015 profit chiefly reflects $10,220 of Australian R&D grants recognized during the nine months, including $4,357 in Q3, relating to qualifying expenditures from 2012 and 2013. Other notable items included a $572 write-down of a Mexican VAT receivable and a $1,326 nine-month unrealized loss on Midas Gold shares.

At September 30, 2015, total assets were $30,209, total liabilities $1,109, and shareholders’ equity $29,100. Cash was $2,868 and short-term investments, primarily U.S. Treasury bills, were $11,880; together these totaled $14,748. Reported working capital was $15,954. The company reported no debt at period-end. Cash and cash equivalents decreased by $846 during the nine months, ending at $2,868; investing cash use was $5,587, including the purchase of short-term investments.

Changes versus comparable periods

  • Net income improved from losses in 2014, largely because of the 2015 R&D grant receipts; these are not recurring mining revenues.
  • Nine-month operating cash flow improved to $4,741 from cash use of $5,511, principally reflecting grant proceeds and lower operating costs.
  • Q3 exploration and holding costs increased to $1,306 from $755, mainly due to discretionary Mt Todd technical studies and drilling. Nine-month costs were broadly similar year over year.
  • The company sold 8 million Midas Gold shares in March 2015 for net proceeds of $2,772, reducing its holding from approximately 11.2% to 4.9%. The remaining investment was valued at $1,717 at quarter-end, down from $6,163 at year-end 2014.
  • Cash and short-term investments rose from $3,714 at December 31, 2014 to $14,748, supported by grant receipts and asset monetization, partly offset by the purchase of Treasury bills and other spending.

Outlook, risks and other notable matters

  • Management said available working capital was sufficient for currently planned programs into 2018. Fixed costs were expected to average $1,500–$1,700 per quarter; both estimates are forward-looking and depend on assumptions and funding.
  • A Mt Todd feasibility study was deferred because of low gold prices. Management estimated a cost of about $2,500 and a six-month duration once started, subject to improved economics and funding. Permitting, including federal authorization relating to the Gouldian Finch, and water management remained priorities. Results from proof-of-concept drilling were still under analysis.
  • Management expected a $1,500 Guadalupe de los Reyes option payment in Q1 2016 and identified the sale of mill equipment and other non-core assets, and potentially remaining Midas Gold shares, as possible non-dilutive funding sources. The option payment and asset sales are not assured.
  • The $6,500 mill equipment asset held for sale is Level 3 fair value, based on an external assessment of projected sale value and costs; realization at that value is uncertain.
  • Great Panther’s Guadalupe de los Reyes option agreement provides for scheduled payments, including $1,500 in January 2016 and $2,500 in January 2017, subject to the agreement’s terms. Failure to pay or meet obligations could terminate its option.
  • The company is contesting Mexican tax authorities’ denial of its VAT recovery claim after writing down $572. It also disclosed a $295 settlement of a contract dispute in May 2015 and obligations under its Mt Todd agreement with the Jawoyn Association, including a potential joint venture interest and production-related payments.
  • Key risks include continued difficulty raising capital, gold-price volatility, permitting and environmental requirements, water issues, foreign-exchange fluctuations (the company reported no currency hedging), and dependence on third parties. Vista expects to remain a passive foreign investment company (PFIC) for U.S. tax purposes.
  • All 15,219,802 warrants, with a $5.00 exercise price, expired October 22, 2015. Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether the reported liquidity and management’s funding-through-2018 estimate remain adequate given actual spending, market conditions and planned programs.
  • Receipt of the scheduled Guadalupe de los Reyes payments and progress on the Mt Todd permitting, water-management and feasibility-study prerequisites.
  • Whether the mill equipment can be sold near its $6,500 carrying value and whether the Mexican VAT claim is recoverable.
  • The extent to which future results depend on nonrecurring grants, investment valuations and asset sales rather than operating revenue.
  • Current status of Midas Gold investment value, gold-price assumptions, project economics and applicable PFIC tax considerations.
