Debt and liquidity

  • Total debt at December 31, 2020 was $6.858 billion, including $5.515 billion of principal classified as long-term debt and $1.343 billion classified as short-term borrowings or current maturities.
  • Debt included $2.003 billion of term loans, $1.15 billion of 6.25% senior notes due 2025, $1.0 billion of senior notes due 2024, $535 million of senior notes due 2023, $1.2 billion of senior notes due 2022 and $300 million of senior debentures due 2034.
  • XPO issued $1.15 billion of senior notes due 2025 and borrowed a net $200 million under its ABL facility during 2020.
  • ABL availability was $883 million at year-end, and an additional $150 million was available under a secured term loan commitment. XPO also had $2.054 billion of cash and cash equivalents.
  • Management stated that existing liquidity and capital sources were sufficient to support operations for the following 12 months. Net capital expenditures were expected to be $475 million to $525 million in 2021, excluding effects of the planned spin-off.

Material changes versus the prior comparable period

  • Revenue declined modestly, but operating income and net income fell substantially because of COVID-19-related volume declines, higher facility and personnel costs, incremental protective and employee-benefit costs, and transaction-related spending.
  • 2020 operating income included $100 million of transaction and integration costs and $56 million of restructuring expense, compared with $5 million and $49 million, respectively, in 2019.
  • Restructuring actions are expected to produce approximately $100 million of annualized pre-tax savings by the end of 2021.
  • Operating cash flow improved despite lower earnings, primarily because operating assets and liabilities generated more cash, including deferred tax payments and higher compensation and purchased-transportation accruals.
  • The company repurchased approximately $114 million of common stock in 2020, compared with $1.347 billion in 2019.
  • In December 2020, holders exchanged most of the preferred stock for common stock and cash. XPO issued approximately 9.9 million common shares and paid $22 million; the conversion charge reduced income attributable to common shareholders but did not reduce net income.
  • Goodwill increased to $4.599 billion from $4.450 billion, with no goodwill impairment recorded.

Guidance, outlook, commentary, risks and unusual items

  • The company expected COVID-19 to continue affecting results in 2021, although the duration and pace of recovery remained uncertain by geography and customer sector.
  • XPO announced a plan to spin off 100% of its Logistics segment into a separate publicly traded company, expected in the second half of 2021. Completion was subject to board approval, financing, tax opinions, regulatory and listing conditions, and other customary requirements.
  • The proposed spin-off could reduce diversification, increase volatility in revenue, cash flow and financing needs, create separation costs and liabilities, and fail to qualify as generally tax-free.
  • In January 2021, XPO acquired the majority of Kuehne + Nagel’s U.K. and Ireland contract logistics operations, with approximately £450 million of 2020 revenue. The acquisition was not included in 2020 results.
  • In January 2021, XPO redeemed its outstanding $1.2 billion of senior notes due 2022 and expected to record an approximately $5 million debt extinguishment loss in the first quarter of 2021.
  • Key risks include economic and freight-volume cyclicality, fuel and interest-rate volatility, foreign exchange exposure, driver and carrier availability, labor and independent-contractor classification claims, cybersecurity and technology failures, litigation, regulatory changes, and substantial indebtedness.
  • Material legal matters included certified California independent-contractor classification class actions and securities and derivative litigation. The filing states that potential losses could not be reasonably estimated for the principal disclosed matters.
