ZTO Express (Cayman) Inc. — 2019 Form 20-F Summary
Reporting period: Fiscal year ended December 31, 2019. Although the request refers to 2019 Q4, this filing reports full-year results and does not provide a clear standalone fourth-quarter income statement or cash-flow summary. Amounts below are in RMB unless otherwise noted; U.S. dollar figures are the filing’s convenience translations.
Business context and financial performance
ZTO operates a China-focused express-delivery network, using company-operated sorting hubs and line-haul transportation alongside independently operated branded pickup and delivery outlets. It reported 12.121 billion parcels in 2019, up from 8.524 billion in 2018, and network coverage of 98.6% of China’s cities and counties.
| Metric | 2019 | 2018 | Change |
|---|---|---|---|
| Revenue | RMB22.110bn | RMB17.604bn | +25.6% |
| Gross profit / margin | RMB6.621bn / 29.9% | RMB5.365bn / 30.5% | Profit +23.4%; margin −0.6 percentage points |
| Operating income / margin | RMB5.463bn / 24.7% | RMB4.332bn / 24.6% | +26.1% |
| Net income | RMB5.671bn | RMB4.388bn | +29.2% |
| Basic earnings per share | RMB7.24 | RMB5.83 | +24.2% |
| Net cash from operating activities | RMB6.304bn | RMB4.404bn | +43.2% |
Express delivery services contributed RMB19.606bn, or 88.7% of revenue. Freight-forwarding revenue was RMB1.236bn, accessories sales RMB1.090bn, and other revenue RMB178m. Management attributed revenue growth chiefly to parcel-volume growth and market-share gains; a 10.1% decline in unit price per parcel, including volume incentives amid competition, partly offset that growth. Cost of revenue rose 26.5%, faster than revenue, and gross margin narrowed. Operating margin was broadly stable.
Cash, investment and debt: Cash and cash equivalents were RMB5.270bn and short-term investments RMB11.113bn at year-end; together they totaled RMB16.383bn. Cash, cash equivalents and restricted cash were RMB5.277bn. Current assets were RMB20.098bn against current liabilities of RMB6.681bn. The filing reports no short-term bank borrowings at year-end and no interest expense in 2019. It recorded RMB803m of operating lease liabilities following adoption of the lease accounting standard. Operating cash flow exceeded cash purchases of property and equipment and land-use rights by approximately RMB1.078bn; this is a simple calculation, not a company-defined free-cash-flow measure.
Investing activities used RMB3.664bn, including RMB5.226bn of purchases of property, equipment and land-use rights, partly offset by maturities of short-term investments. Financing activities used RMB1.982bn, including RMB1.271bn of dividends and RMB763m of share repurchases. Capital commitments for construction were RMB1.977bn; operating lease commitments were RMB905m.
Material changes and unusual items
- Parcel volume increased approximately 42.2%, while revenue grew 25.6%; the company said lower unit pricing partially offset volume growth.
- Net income included a noncash RMB754m unrealized gain from an observable price change in ZTO’s Cainiao investment. It also included a RMB56m impairment charge on equity investments, primarily Wheat Commune.
- Operating cash flow increased to RMB6.304bn from RMB4.404bn. Capital spending on property, equipment and land-use rights increased to RMB5.226bn from approximately RMB3.981bn.
- The company adopted lease accounting effective January 1, 2019, recognizing RMB844m of right-of-use assets and RMB768m of lease liabilities at adoption. Reported year-end lease liabilities were RMB803m.
- Management reported an effective income-tax rate of 16.0%, down from 17.4%, reflecting preferential tax rates and other factors. A subsidiary’s high-and-new-technology tax qualification covered 2017–2019 and requires review.
Outlook, risks and contingencies
The filing gives no quantified 2020 revenue or earnings guidance. Management described continued investment in sorting hubs, fleets, technology and personnel, and plans to develop services including cross-border e-commerce and less-than-truckload logistics. It said existing liquidity and expected operating cash flow were sufficient for operating needs, capital expenditures and other obligations for at least 12 months.
COVID-19 developments occurred after the reporting period. ZTO temporarily closed offices, sorting hubs and outlets from late January to mid-to-late February 2020 and reported lower parcel volume and labor shortages in January and February versus the prior year. Management said the full-year 2020 impact could not be reasonably estimated.
- Competitive pricing pressure and reliance on e-commerce demand, including continuing exposure to the Alibaba ecosystem, could affect prices, volume and margins.
- Operations depend on thousands of network partners and outsourced workers; service quality, labor availability, parcel safety and continuity across the network are key risks.
- The domestic delivery business operates through a contractual VIE structure because of foreign-investment restrictions. Changes in regulation or enforcement could affect control of, or access to, the business and its earnings.
- The filing discloses regulatory and operating exposures, including franchise filing requirements, some incomplete property title documentation, construction-permit issues, and estimated underpayments of employee social-insurance and housing-fund contributions. Potential penalties or related costs are uncertain.
- Several putative securities class actions relating to the 2016 IPO remained pending; the company said it considered the claims without merit. The possible loss or range of loss was not clearly estimable.
- The filing warns that the company’s China-based auditor was not then subject to PCAOB inspection, a risk to investors’ ability to assess audit oversight.
The board approved a special dividend of US$0.30 per ADS for 2019, expected to be paid on April 20, 2020 to holders of record on April 8, 2020. The company said it did not expect regular cash dividends in the foreseeable future.
Most important facts for investors to verify
- Confirm that the 10.1% unit-price decline and faster growth in parcel volume are reflected in current pricing, volume incentives and margins.
- Assess how much of 2019 net income growth depended on the RMB754m unrealized Cainiao investment gain and whether investment values or impairments changed afterward.
- Review post-year-end parcel volumes, service performance, labor availability and the financial effects of COVID-19; the filing provides no clear quantified full-year outlook.
- Track capital expenditure, construction commitments, lease obligations and the conversion of operating cash flow into cash after investment spending.
- Check developments in VIE and foreign-investment regulation, outstanding licenses and franchise filings, property-title remediation, employee-benefit contributions and the securities litigation.
