Shell Agrees to $1.45 Billion Sale of North West Shelf Stake

Shell plc SHEL, through subsidiary Shell Australia Pty Ltd, has agreed to sell its 16.67% non-operated interest in Australia’s North West Shelf (“NWS”) project to subsidiaries of XRG P.J.S.C. The transaction carries a base consideration of $1.45 billion, subject to customary adjustments, along with an additional payment tied to specified milestones. Announced on Nov. 3, 2026, the agreement has an effective date of Jan. 1, 2026, and is expected to close in 2027, subject to regulatory approvals and other customary conditions. The effective date is distinct from the anticipated closing date, which remains dependent on these conditions being met.

The divestment is part of Shell’s effort to streamline its portfolio and focus investment on advantaged integrated gas positions. For investors, it shows the company monetizing a mature asset while maintaining its broader commitment to natural gas and liquefied natural gas (“LNG”).

Sale Supports Capital Discipline and Portfolio Focus

Shell’s 16.67% holding is a minority, non-operated interest: it gives the company a share in the project without responsibility for day-to-day operations. The $1.45 billion base consideration will be subject to customary adjustments and could be supplemented by the milestone-linked payment.

The buyers will also assume decommissioning obligations and provide security for them. Decommissioning covers the eventual closure or removal of facilities when they are no longer needed. Transferring these responsibilities may reduce Shell’s future exposure to retirement costs, although the benefit depends on the final terms and completion of the deal.

North West Shelf Enters a New Operating Phase

The NWS project is an integrated LNG and domestic gas development in Western Australia, involving interconnected joint ventures with Woodside, Chevron CVX, BP BP, Shell, MIMI and CNOOC. Shell’s interest includes upstream assets, pipeline and midstream infrastructure, project companies, offtake arrangements and related petroleum and pipeline interests.

Production from NWS’ original gas fields has declined, leaving spare capacity at the Karratha Gas Plant, which processes gas for domestic supply and LNG exports. The project is moving toward a mix of its own resource production and third-party toll processing. Under this model, other producers can pay to use the facility to process their gas, changing the project’s operating and commercial profile. As production from the original fields eases, future plant utilization will increasingly depend on attracting third-party gas volumes and securing toll-processing arrangements.

The sale follows Shell’s 2023 divestment from the Browse project, a proposed offshore development intended to send gas to Karratha for processing and export through NWS infrastructure. Together, the transactions indicate a more selective approach to Shell’s Australian gas portfolio, not a complete exit from the country. XRG, an international energy investment company focused on natural gas, chemicals and energy solutions, is adding an established Australian gas position to its broader portfolio through the proposed acquisition.

Shell Retains Significant Australian LNG Exposure

Shell retains a substantial Australian presence through its operated QGC project and Prelude floating LNG facility, the Crux development, and joint venture interests in Arrow Energy and Gorgon. These positions preserve its exposure to Australian gas production, LNG supply and infrastructure after the NWS sale.

Globally, Shell expects to grow LNG sales by 4-5% annually through 2030. The NWS divestment is therefore a portfolio reallocation: Shell is reducing its stake in one mature project while continuing to invest in other gas and LNG assets. The company has not indicated a change to its long-term LNG growth target.

What Investors Should Watch

The milestone-linked payment could add to the base consideration, but it is contingent and should not be treated as guaranteed. The expected 2027 closing remains subject to regulatory approvals and other conditions, so investors should monitor progress and any changes to the timetable.

Investors should watch how Shell deploys the proceeds and whether its remaining Australian projects support the group’s LNG plans. The sale also involves a trade-off: after completion, Shell will no longer participate in NWS production or any upside from higher third-party processing volumes. The final financial contribution will depend on completion, customary adjustments and any contingent payment. The transfer of decommissioning responsibilities also changes Shell’s future obligations tied to the asset.

Overall, the North West Shelf sale demonstrates Shell’s focus on portfolio quality and disciplined capital allocation. The deal provides a $1.45 billion base value and reduces the company’s exposure to a mature, non-operated project, while Shell retains several important Australian gas and LNG assets.
