Business context
AOI designs and manufactures fiber-optic networking products for data center, cable television (CATV), telecom and fiber-to-the-home markets. Q1 revenue shifted substantially toward data center products as CATV customers reduced orders during the transition from DOCSIS 3.1 to DOCSIS 4.0.

Data center revenue rose 42.4% to $29.0 million, or 71.3% of sales. CATV revenue fell 68.6% to $8.7 million, or 21.5% of sales. Telecom revenue declined 38.8% to $2.3 million. The top ten customers accounted for 92% of revenue, versus 93% a year earlier.
Research and development expense increased 37.2% to $11.7 million, sales and marketing increased 63.2% to $3.8 million, and general and administrative expense increased 9.4% to $13.7 million. Management attributed the increases principally to R&D hiring and project costs, quantum-bandwidth product business development and shipping costs, and legal fees and share-based compensation, respectively.
Balance sheet, debt and liquidity
- At March 31, cash and cash equivalents were $8.4 million; restricted cash was $9.0 million. Combined cash, cash equivalents and restricted cash were $17.4 million, down $37.7 million from year-end.
- Current assets were $133.6 million and current liabilities were $74.6 million. Inventory was $54.3 million, down from $63.9 million at December 31, 2023.
- China bank borrowings were $24.1 million, all classified as current; $11.4 million was under a revolving facility maturing May 24, 2024. Bank acceptance payables were $10.7 million. AOI reported $29.4 million of unused borrowing capacity and compliance with lending covenants.
- Convertible senior notes had a $76.3 million carrying value and $80.2 million principal outstanding at March 31. The 5.25% notes mature in December 2026. The remaining $0.286 million of 2024 convertible notes was paid off in March.
- Financing activities used $1.4 million net. AOI sold 270,000 shares through its ATM offering in March, raising approximately $4.0 million gross and $3.9 million net. The company may sell up to $25 million under the agreement.
Management said future capital needs depend on growth, R&D, sales and marketing, product launches and completion of factory improvements in Ningbo. It noted that additional funding could be sought through equity or debt, secured borrowing, or asset or business sales, but such funding may not be available on acceptable terms or at all.
Outlook, risks and unusual items
- AOI reported increased orders for 400G data center products from several large customers and said customer forecasts indicated demand could increase through year-end 2024. This is management commentary, not formal revenue or earnings guidance.
- CATV demand remained weak amid customers’ inventory reductions ahead of the DOCSIS 4.0 transition. Results remain exposed to customer forecasts, the high customer concentration and the absence of long-term purchase commitments exceeding one year.
- AOI recorded a $1.7 million foreign-currency translation loss, compared with a $1.6 million gain in Q1 2023. It reported no income tax expense and maintained a full valuation allowance against net deferred tax assets.
- Management identified a long-lived-asset impairment triggering event due to the loss history, but concluded undiscounted future cash flows exceeded carrying value; no impairment was recorded.
- A Hong Kong arbitration relates to AOI’s termination of a proposed China facilities and assets sale. The purchaser challenges the termination and seeks specific performance; AOI asserts counterclaims for a break-up fee. The evidentiary hearing is scheduled for September 2025, and AOI cannot estimate the outcome or any loss or recovery.
- A Texas sales-and-use-tax audit dispute concerns approximately $1.0 million, including interest, for 2016–2019. AOI paid $0.4 million and is contesting the remaining assessment; no updated action was reported in Q1.
- AOI stated disclosure controls were effective as of March 31, 2024, and reported no material changes to its risk factors or internal control over financial reporting during the quarter.
