  • Quarterly revenue fell about 38% year over year; nine-month revenue fell about 39%. Product revenue drove the decline, with system sales of $12.8 million in Q3 versus $35.1 million a year earlier.
  • Q3 gross margin decreased 4.9 percentage points, principally due to lower system volume and under-absorption of fixed costs, including a $1.1 million charge related to lower-than-normal production capacity. A higher mix of parts and upgrades partly offset the impact. Nine-month gross margin increased 0.8 percentage points.
  • Operating expenses declined year over year, but were insufficient to offset the revenue and gross-profit decline. Nine-month results also included $3.6 million of restructuring charges.
  • Cash used in operating activities was $11.4 million for the first nine months, compared with $0.9 million provided in 2011. Capital expenditures were $0.5 million; cash and cash equivalents decreased to $35.2 million from $46.9 million at year-end 2011.
  • At September 30, 2012, current assets were $188.5 million and current liabilities were $31.7 million. Total liabilities were $37.2 million; the filing reports no borrowings under its revolving facility during the quarter or nine-month period.

Changes, outlook and risks

  • Management attributed weaker results to continued semiconductor-industry weakness and reduced customer capital spending. It anticipated similar market conditions in Q4 2012 and into 2013; no quantified revenue or earnings guidance was provided.
  • Management said existing cash and cash equivalents were expected to meet anticipated short- and long-term cash requirements, and that spending could be aligned with demand. This outlook depends on market, revenue, expense and cash-flow assumptions.
  • The revolving facility provides for up to $30 million of borrowing, primarily based on receivables. Available capacity was $18.5 million at quarter-end; the company was covenant-compliant after a September amendment revising the minimum trailing six-month Adjusted Net Income covenant. The facility terminates April 10, 2015.
  • Restructuring followed a reduction in force intended to control costs, focus operations and conserve cash. The remaining $0.5 million liability was expected to be paid in Q4 2012.
  • Revenue and cash flow are exposed to cyclical semiconductor capital spending, while much of the expense base is relatively fixed. Customer concentration was notable: three customers represented 40.1% of Q3 revenue; two customers represented 32.7% of nine-month revenue. Inventory was $123.3 million, including $20.2 million of reserves.
  • The company reported no litigation it believed could materially adversely affect operations, no material changes to previously disclosed risk factors or market-risk information, and effective disclosure controls. A foreign tax dispute was settled for $0.9 million, equal to a previously recorded charge, with no reported effect on results or cash flows.

Investor verification points

  • Assess whether semiconductor equipment demand and system sales recover, and how prolonged weakness could affect revenue, margins and cash usage.
  • Review liquidity and the assumptions behind management’s cash-sufficiency outlook, including the $18.5 million available facility capacity and applicable covenants.
  • Track inventory levels, reserves and production utilization, as well as customer concentration and receivables exposure.
  • Confirm the completion and cash cost of restructuring and monitor whether expense reductions support a return to profitability.
