Revenue growth was 111%. Operating margin was approximately 16.7% in 2023, versus an operating loss in 2022. Net income included substantial investment-related and other non-operating items, so it was not equivalent to operating cash generation. Year-end current assets were $554.5 million and current liabilities were $27.6 million.
- Intellectual property: Revenue was $89.2 million, up from $19.5 million, principally reflecting a large paid-up license from one patent portfolio in Q4. Segment operating income was $47.6 million. Patent-related cost of revenues rose to $34.2 million from $18.0 million.
- Industrial: Printronix revenue fell 12% to $35.1 million, mainly due to fewer printer units sold. Segment operating income was $0.7 million, compared with $1.1 million.
- Energy: Benchmark contributed $0.8 million of revenue and recorded a $72,000 segment operating loss for the post-acquisition period. Its results are not comparable to a full year.
Material changes and transactions
- Acacia invested $10.0 million for a 50.4% interest in Benchmark in November 2023 and consolidated its results from November 13.
- The Starboard recapitalization was completed in July 2023: preferred shares were converted into common stock, 31.5 million warrants were exercised, $60.0 million of senior secured notes were cancelled, and Acacia received approximately $55.0 million in gross proceeds. The rights offerings also raised approximately $79.1 million. No Series A preferred stock, Series B warrants, or senior secured notes remained outstanding at year-end.
- Starboard held approximately 61.2% of common stock as of March 11, 2024. Common shares outstanding increased to 99.9 million at year-end from 43.5 million.
- Investment results swung materially: the company recorded a $31.4 million unrealized gain on equity securities versus a $263.7 million unrealized loss in 2022; sales generated a $10.9 million realized loss versus a $125.3 million gain. Equity-method earnings fell to $4.2 million from $42.5 million.
- Acacia sold its Arix Bioscience shares on January 19, 2024 for $57.1 million; it no longer owns Arix.
Outlook, risks and unusual items
- Management said cash and cash flows from operations should be sufficient to meet requirements for at least twelve months from the filing date. Operating cash flow was nevertheless negative in 2023.
- Benchmark agreed in February 2024 to acquire Revolution assets for $145.0 million, subject to closing conditions, with a targeted Q2 2024 close. Acacia expects to contribute $57.5 million from cash on hand; approximately $72.5 million is expected from Benchmark borrowing and $15 million from the other investor. Acacia expects its Benchmark ownership to rise to approximately 73.1%. Closing, financing, integration, commodity-price and operating risks remain.
- Patent licensing revenue is inherently uneven and concentrated: two licensees accounted for 59% and 26% of 2023 IP revenue and approximately 72% and 26% of year-end receivables. Patent litigation outcomes, timing, legal costs, and the lack of new patent portfolio acquisitions in 2022–2023 may affect future results.
- Energy risks include oil and gas price volatility, hedging effectiveness, reserve estimates, borrowing-base and covenant restrictions, operating hazards, environmental regulation, and inflation in services and equipment costs.
- Starboard’s voting control may create conflicts with other shareholders. The company entered into a Starboard services agreement in December 2023 on an expense-reimbursement basis and reimbursed $216,000 during the year.
- Acacia settled claims with former CEO Clifford Press in September 2023, paying $770,000 plus $480,000 for certain legal fees and expenses. A Delaware lawsuit involving Slingshot remains pending; the filing describes a summary-judgment hearing scheduled for March 28, 2024. Management stated that ordinary-course legal matters were not expected to materially affect consolidated results, while noting patent litigation could result in material sanctions or fee awards.
- The board authorized up to $20 million in share repurchases in November 2023; none had been made by year-end. Acacia does not expect to pay common-stock dividends in the foreseeable future.
