Cash, cash equivalents, and investments totaled $327.4 million at quarter-end. Operating cash flow was positive, but cash and cash equivalents decreased $28.6 million; investing activities used $48.2 million, mainly reflecting net purchases of available-for-sale securities and $4.0 million of patent acquisition costs. Acacia reported no long-term debt or committed credit lines. Total liabilities were $82.2 million, including $53.9 million of current liabilities.

Material changes and drivers

  • Revenue fell by $22.2 million. The filing attributes the decline principally to fewer agreements executed (29 versus 40); average revenue per agreement rose to $2.65 million from $2.48 million.
  • Total operating costs and expenses increased to $69.8 million from $34.7 million. Inventor royalties and contingent legal fees rose by a combined $22.2 million, largely because a smaller share of Q1 2013 revenue came from portfolios without royalty obligations or litigation-related fees.
  • Patent litigation and licensing expense rose to $9.6 million from $3.4 million amid increased litigation, prosecution, consulting, and expert costs. Patent amortization increased to $11.7 million from $5.1 million, including costs associated with portfolios acquired since Q1 2012.
  • Three licensees generated 65%, 14%, and 13% of Q1 2013 revenue, respectively. Accounts receivable increased to $45.4 million from $9.8 million; management said most was collected or scheduled for collection in Q2 2013. Royalties and contingent legal fees payable rose to $36.7 million from $12.5 million.
  • Acacia acquired control of nine patent portfolios and invested $4.0 million in patent advances and payments, including its first portfolios in the energy sector. It reported 29 new revenue agreements across 31 licensing programs, including 11 programs generating initial revenue.

Outlook, risks, and unusual items

  • Management stated that cash, investments, anticipated operating cash flows, and other available credit sources were expected to cover cash requirements through at least May 2014. The filing gives no specific revenue or earnings guidance and cautions that quarterly results can vary significantly.
  • Management described increasing partnership opportunities in technology, energy, medical technology, and international markets. These are stated opportunities, not quantified forecasts.
  • The 2012 comparison included a $10.2 million tax benefit from releasing most of the deferred-tax valuation allowance following the ADAPTIX acquisition. The 2012 effective tax rate was 23%, versus approximately 39% in Q1 2013; the difference makes year-over-year net income comparisons less directly comparable.
  • Patent enforcement carries risks of adverse rulings, appeals, changing rules, sanctions, and attorney-fee awards that could be material. Legal spending may fluctuate. Revenue concentration among a few licensees and timing of licensing agreements also contribute to volatility.
  • After quarter-end, the board extended the $100 million share-repurchase authorization through August 15, 2013. No shares were repurchased in Q1. It also adopted an expected annual cash dividend of $0.50 per share, payable quarterly, subject to board discretion; the first $0.125-per-share payment was scheduled for May 30, 2013.
  • Management reported effective disclosure controls and procedures and no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether the $45.4 million receivable balance was collected as expected, and the timing of related royalty and contingent-fee payments.
  • Whether revenue concentration, agreement timing, and the mix of portfolios with royalty or litigation costs continue to affect margins and cash generation.
  • Trends in patent litigation and licensing expenses, patent acquisitions, and amortization of the patent portfolio.
  • Whether the announced dividend and repurchase plans were implemented as described and remain sustainable given operating cash flows.
  • Potential exposure from patent-enforcement disputes and approximately $2.1 million of unrecognized tax benefits disclosed at March 31, 2013.
