Outlook, management commentary, risks and unusual items
- Management cited record EBA sales, strong subscription renewals, accelerating digital sales, and sequential growth in new business in fiscal Q4. AEC and Manufacturing grew year over year in the quarter. COVID-19 effects remained uncertain, particularly for future renewals, new sales, margins, and cash flow.
- For fiscal 2022, management expected cost of revenue and marketing and sales expense to increase in dollars but remain flat as a percentage of revenue; research and development to increase in dollars and as a percentage of revenue; general and administrative expense to decrease in dollars and as a percentage of revenue; and purchased-intangible amortization to remain flat. The filing does not provide a clear numerical revenue or earnings forecast in the text provided.
- Autodesk planned to retire remaining maintenance offerings on May 7, 2021, and was transitioning multi-user subscriptions to named users through August 2023. Management said the company expected to have sufficient liquidity for at least the next 12 months.
- After year-end, Autodesk announced an agreement to acquire Innovyze for approximately $1.0 billion, expected to be funded with cash and subject to customary closing conditions, including regulatory approvals.
- Key risks include COVID-19 and global economic uncertainty; subscription renewal and customer retention; intense competition and execution of the subscription/cloud strategy; reliance on international markets and foreign exchange; distributor concentration; cybersecurity, privacy, and regulatory exposure; and debt-service obligations. Legal matters arise in the ordinary course; management did not expect pending matters to have a material adverse effect, but noted an unfavorable resolution could materially affect a particular period.
- Unusual FY2021 items include the $679.0 million U.S. valuation-allowance release, $41.7 million of losses on strategic investments, and a $6.9 million operating-lease asset impairment associated with vacating an office. The company repurchased 2.6 million shares for $549.4 million during the year.
Important facts for investors to verify
- Assess how much reported net income and EPS growth depended on the non-cash tax benefit; compare GAAP results with the company’s reconciled non-GAAP measures.
- Track subscription renewals, retention, new business, and the maintenance-to-subscription transition, especially given the decline in the reported retention-rate range.
- Review RPO conversion, deferred-revenue growth, and whether operating cash flow remains strong as customer billing and payment patterns normalize.
- Monitor distributor exposure, particularly Tech Data’s shares of revenue and receivables, and the implications of distributor ownership changes.
- Confirm the closing, funding, integration, and expected returns of the announced Innovyze acquisition, and monitor remaining debt and liquidity after the transaction.
- Review developments in COVID-19 impacts, foreign exchange, cybersecurity and privacy compliance, tax positions, and unresolved legal contingencies.
