Autodesk, Inc. annual report, FY2015

Autodesk, Inc. — FY2015 Form 10-K Summary

Reporting period: Fiscal year ended January 31, 2015. The filing also reports fourth-quarter results for the three months ended that date; it is an annual report, not a calendar 2014 Q4 filing.

Business context

Autodesk sells design software and services to architecture, engineering and construction (AEC), manufacturing, and media and entertainment customers, alongside its AutoCAD platform and consumer offerings. Revenue is generated through perpetual and term licenses, maintenance, and cloud subscriptions; approximately 83% of FY2015 revenue came through distributors and resellers. The company is transitioning toward cloud services and subscription licensing, including ending upgrades effective March 6, 2015, and moving most new commercial standalone seats to desktop subscription from February 1, 2016.

Subscription revenue increased 15%, and total subscriptions rose to 2.23 million from 1.85 million. GAAP operating expenses increased 20% to $2,049.4 million, contributing to the margin decline; cost of revenue rose 25%. Non-GAAP operating margin was 15% versus 22%, and non-GAAP diluted EPS was $1.17 versus $1.68.

FY2015 fourth-quarter revenue was $664.6 million versus $586.6 million a year earlier; operating income was $14.0 million versus $51.7 million, net income was $11.5 million versus $53.9 million, and diluted EPS was $0.05 versus $0.23.

Changes versus the prior year

  • Revenue increased across AEC (+19%) and Manufacturing (+17%); PSEB grew 1%, while Media and Entertainment declined 4%.
  • Suites revenue grew 17% and reached 36% of total revenue; new and adjacent products grew 24%. Flagship revenue declined as a share of the mix, to 48% from 51%.
  • International revenue was 71% of total, up from 70%. EMEA revenue grew 15% as reported; foreign exchange reduced reported growth, with total revenue growth at 12% on a constant-currency basis.
  • Operating income fell 58%, reflecting increased investment and costs related to the business-model transition, cloud, acquisitions, headcount, commissions, and professional fees.
  • Net income also reflected $23.3 million of losses on strategic investments, including impairment charges on privately held investments, and a much lower effective tax rate (1% versus 18%).

Outlook, risks, and unusual items

For FY2016, Autodesk forecast revenue and net billings growth of approximately 3%–5%. It projected GAAP diluted EPS of $0.10–$0.25, non-GAAP diluted EPS of $1.05–$1.20, GAAP operating margin of 2%–4%, and non-GAAP operating margin of 13%–15%; expected net new subscriptions were 375,000–425,000. Management cautioned that traditional perpetual-license revenue was expected to decline without a corresponding near-term reduction in expenses over the next 12–24 months.

Key risks include execution and customer/channel acceptance of the subscription transition; pressure on upfront revenue and reported earnings as more revenue is recognized ratably; competition and technology shifts; reliance on international markets, foreign exchange, and reseller channels; and cybersecurity, privacy, intellectual-property, acquisition-integration, tax, and economic risks. Tech Data accounted for 25% of revenue and 22% of trade receivables. Legal matters were described as ordinary-course matters; management did not expect pending matters to materially affect results, but could not estimate potential losses for some proceedings.

Autodesk acquired Delcam, Within Technologies, and Shotgun, among other businesses and technology assets; total acquisition cash outflow was $630.0 million. It recorded a $19.2 million impairment of privately held equity investments. No goodwill impairment was recorded. The independent auditor issued unqualified opinions on the financial statements and internal control over financial reporting; Delcam’s controls were excluded from management’s assessment for the acquisition year.

Most important facts for investors to verify

  • Whether subscription additions, renewals, billings, and deferred revenue support the projected FY2016 growth as perpetual licensing phases down.
  • Whether operating margins recover as transition, cloud, acquisition, and staffing costs evolve; reconcile reported GAAP results with management’s non-GAAP measures.
  • How much of the cash balance held offshore is available for U.S. needs without additional tax cost, and how cash deployment compares with repurchases and acquisitions.
  • Exposure to Tech Data and other channel partners, foreign exchange movements, and the health of major customer industries.
  • Potential effects of tax examinations and unrecognized tax benefits ($245.8 million), legal contingencies, and future investment impairments.
