Advanced Energy Industries, Inc. — FY 2011 Form 10-K
Reporting period: Fiscal year ended December 31, 2011. This annual filing includes fourth-quarter results, but is not a standalone Q4 report. The company designs and sells thin-film power conversion and thermal instrumentation products, solar inverters, and related support services. Results exclude the gas flow control business sold in October 2010; 2010 includes a gain on that sale. PV Powered, acquired in May 2010, contributed a full year of revenue in 2011.

Revenue rose 12.5%, led by solar inverters, while operating income and continuing-operations income declined. Gross margin fell 3.7 percentage points, principally because Solar Energy represented a larger share of sales and typically had lower margins. Net income in 2010 included a $12.5 million after-tax gain on the gas flow control sale.
- Business units: Thin Films revenue was $328.6 million, down 7.1%; reported segment operating income was $68.2 million. Solar Energy revenue was $188.2 million, up 78.0%; reported segment operating income was $4.3 million. Segment operating income precedes $23.3 million of corporate expenses and other adjustments.
- Fourth quarter: Revenue was $112.5 million, gross margin 34.6%, operating loss $3.1 million, and net loss $2.8 million. Sales and gross margin declined sequentially from Q3; restructuring charges were $4.2 million in Q4.
- Liquidity and obligations: Cash, cash equivalents, and marketable securities totaled $143.2 million; current assets were $390.5 million and current liabilities $91.2 million. The company reported no credit line or other external liquidity source. Selected financial data reports $0.125 million of long-term debt and lease obligations; contractual obligations include $0.234 million of capital leases and $28.0 million of operating leases.
- Cash uses: Investing activities used $34.7 million, including purchases of marketable securities and $18.9 million of capital expenditures. Financing activities used $17.1 million, including $17.9 million for repurchases of 1.744 million shares under a $75 million authorization.
Changes, outlook, and notable items
- Thin Films markets weakened in the second half of 2011 amid economic uncertainty, falling factory utilization, and reduced capital-equipment spending. Backlog declined 17.4% to $76.9 million from $93.1 million.
- Management expected semiconductor equipment demand to improve modestly in the second half of 2012, while flat-panel-display sales were expected to remain slow through much of 2012. Management anticipated higher inverter sales in 2012, but warned of lower first-quarter revenue from normal seasonality and possible project delays tied to incentive uncertainty and falling solar-panel prices. These are expectations, not assured results.
- A September 2011 restructuring reduced the workforce by about 202 people, or 12.1%, and included facility consolidation, asset impairments, and relocation of functions. Charges were $7.3 million in 2011; total estimated plan costs were $12 million to $16 million. Management projected annual savings of more than $20 million after both phases are completed, with the second phase expected over 9–15 months.
- Solar Energy demand is exposed to government incentives, financing availability, panel prices, project delays, and potential performance guarantees or liquidated damages. The filing also cites solar-cell trade complaints involving Chinese imports and possible effects on projects and demand.
- Other material risks include cyclical end markets, customer concentration (Applied Materials was 13.1% of 2011 sales), supplier/component constraints, foreign operations and currency exposure, and reliance on a small number of manufacturing sites. Hitachi Metals represented 16.2% of year-end accounts receivable.
- Uncertain tax positions were $16.4 million on the balance sheet; $16.4 million of uncertain tax liabilities was excluded from contractual obligations due to uncertainty about amount and timing. The company planned to repatriate up to $30 million from Japan in 2012.
- Auditors issued unqualified opinions on the financial statements and internal control over financial reporting. Management also concluded disclosure controls and internal controls were effective at year-end.
Key facts for investors to verify
- Whether the $76.9 million backlog converts to sales, given customer rights to delay or cancel orders.
- Solar inverter profitability, gross-margin trajectory, and whether expected restructuring savings are realized without additional costs.
- Thin Films demand recovery assumptions and the impact of solar-panel oversupply, pricing, and incentive changes.
- Cash conversion and working-capital needs, including receivables concentration, inventory exposure, and supplier purchase commitments of $59.8 million.
- Potential exposure from tax positions, solar inverter guarantees or service obligations, and ongoing legal matters; the filing says legal outcomes are difficult to predict.
