Agenus Inc. — FY2019 Form 10-K
Reporting period: Fiscal year ended December 31, 2019; filed March 16, 2020. This is an annual report, not a standalone fourth-quarter filing. Agenus is a clinical-stage immuno-oncology company with no products approved for commercial sale in the United States and no product-sales revenue.
Financial performance and position
| Metric | FY2019 | FY2018 |
|---|---|---|
| Total revenue | $150.0 million | $36.8 million |
| Research and development expense | $168.3 million | $124.6 million |
| General and administrative expense | $46.0 million | $37.3 million |
| Operating loss | $70.1 million | $123.8 million |
| Net loss | $111.6 million | $162.0 million |
| Net loss per common share | $0.80 | $1.44 |
| Net cash used in operating activities | $18.7 million | $131.1 million |
| Cash and cash equivalents at year-end | $61.8 million | $53.1 million |
- Revenue growth mainly reflected the Gilead collaboration, including recognition of license and service revenue, plus royalty-related amounts. Of FY2019 revenue, $30.4 million was non-cash revenue related to previously sold GSK royalty rights, and $15.1 million was a sales milestone tied to Shingrix.
- Operating cash use fell substantially, but cash generation was affected by collaboration-related deferred revenue and other working-capital movements; reported revenue and operating cash flow should not be treated as equivalent.
- Year-end current assets were $86.5 million versus current liabilities of $122.2 million. Total stockholders’ deficit was $231.3 million; accumulated deficit was $1.28 billion.
- Debt carrying value was approximately $14.0 million at year-end, including $13.5 million of 2015 subordinated notes and $0.5 million of notes subsequently repaid. The notes bear 8% interest. In February 2020, the remaining $13.5 million maturity was extended to February 2023.
- Interest expense, net rose to $41.5 million from $25.3 million, largely because of non-cash interest associated with the HCR royalty-sale liability. The liability related to sold future royalties and milestones was $221.4 million net at year-end.
Material changes versus FY2018
- Revenue increased by $113.3 million, driven principally by the Gilead agreement and GSK royalty-sale accounting and milestone revenue. The company received $120.0 million upfront from Gilead in January 2019 and $22.5 million in Gilead milestone payments during 2019; these cash receipts do not equal revenue recognized for the period.
- Research and development expense rose 35% to $168.3 million, primarily from increased external services and antibody-program activity, higher personnel costs, and AgenTus cell-therapy spending.
- General and administrative expense increased 23% to $46.0 million, mainly due to higher personnel and other costs.
- Net loss narrowed, partly reflecting higher collaboration revenue, while interest expense increased. The 2018 comparison included a $10.8 million loss on early debt extinguishment that did not recur in 2019.
- Cash and cash equivalents increased by $8.8 million. Total current liabilities rose to $122.2 million, including higher deferred revenue and the current portion of the royalty-sale liability.
Outlook, management commentary and risks
- Balstilimab (anti-PD-1) monotherapy and balstilimab plus zalifrelimab (anti-CTLA-4) were in Phase 2 trials for second-line cervical cancer. Management expected to file two BLAs in the second half of 2020 under the FDA accelerated-approval pathway and anticipated a possible 2021 launch if approved. These were forward-looking plans, not approvals or guarantees.
- The filing reports February–March 2020 interim response rates of 11.9% for balstilimab monotherapy and 26.5% for the combination in the stated measurable-disease populations. Results were interim, subject to verification and maturation, and might not support approval. A confirmatory trial had not yet begun, although management said it would need to be substantially underway at BLA submission.
- Management estimated that year-end cash, triggered and expected partnership milestones, and first-quarter 2020 financing proceeds would fund requirements through Q4 2020. It also described potential spending reductions if expected additional resources were not secured. The filing discloses substantial doubt about the company’s ability to continue as a going concern for one year after filing; the independent auditor included a going-concern explanatory paragraph.
- After year-end, Agenus raised approximately $62.9 million net by selling about 23.8 million shares through its at-the-market program through March 13, 2020, creating significant dilution. Management also referred to partnership and out-licensing discussions as possible additional funding, but their completion was uncertain.
- Key risks include continued losses and financing needs; clinical, regulatory and manufacturing uncertainty; intense competition; dependence on partners such as Gilead and Incyte; and possible delays or disruption from COVID-19. The company had no committed external funding source. It reported no material legal proceedings.
- The filing describes substantial non-cash and estimate-sensitive royalty-sale accounting. For example, FY2019 included $30.4 million of non-cash royalty revenue and $41.5 million of related non-cash interest expense; estimates depend on future GSK product sales and other assumptions.
Most important facts for investors to verify
- Current cash runway, subsequent financing, share count and potential dilution, including at-the-market sales and outstanding options, warrants and convertible preferred stock.
- Whether the cervical-cancer interim data mature as expected, whether BLAs are filed and accepted, and the status and design of required confirmatory trials.
- Reconciliation of reported revenue to cash receipts, particularly Gilead collaboration accounting, deferred revenue and non-cash GSK royalty-sale revenue and interest expense.
- Liquidity and going-concern disclosures, current-liability obligations, and the terms and servicing requirements of the amended subordinated notes.
- Progress, costs and partner decisions for the broader pipeline, including Gilead option programs, Incyte-partnered assets, and AgenTus cell therapies.
