Investing activities used $377,323, primarily for plant and equipment; financing activities provided $18,360. Current assets were $18.35 million and current liabilities were $5.78 million. At quarter-end, debt principal was $39.2 million, including $39.0 million of 8% senior secured convertible notes due August 2014. The balance sheet reports $36.1 million in convertible notes. Management estimated 2013 annual cash use of $18–21 million and said available resources, together with anticipated equity and potential licensing or collaboration proceeds, were expected to fund requirements into 2014. This estimate depends on raising additional funds and other anticipated proceeds.

Material changes and unusual items

  • Revenue fell by $12.27 million year over year. Q1 2012 included approximately $12.8 million from amended license agreements, including a GSK agreement and a buyout of royalties on non-core technologies; management says those one-time payments are not indicative of future results.
  • Operating cash flow shifted from $11.27 million provided to $3.90 million used, primarily reflecting the prior-year license receipts.
  • During Q1 2013, the Series A preferred holder exchanged 31,620 shares for Series A-1 preferred shares with a lower annual dividend rate, and received 666,666 common shares. The issuance generated a $2.91 million deemed dividend, contributing to the $3.01 million preferred-stock dividend deduction from net loss to loss attributable to common stockholders.
  • On April 15, 2013, after quarter-end, Agenus exchanged the $39.0 million principal 2006 Notes and accrued interest for $10.0 million cash, 2.5 million common shares, and rights to 20% of certain QS-21 revenue interests and a 0.5% royalty on HerpV net sales. The cash payment was funded with $5.0 million of senior secured debt from Silicon Valley Bank and $5.0 million of senior subordinated notes. Both new debt issues mature April 15, 2015; their interest rates are 6.75% and 10%, respectively. The bank debt is secured by substantially all company assets. Agenus also reported approximately $2.3 million in net proceeds from post-quarter at-the-market stock sales.

Outlook, developments and risks

  • Management anticipated QS-21-containing products could begin launching, and Agenus could begin earning related royalties, in 2014. Revenue depends on licensees’ clinical, regulatory, manufacturing and commercialization success; Agenus assigned noteholders rights to a portion of certain QS-21 revenue interests.
  • HerpV Phase 2 enrollment screening was completed in February 2013; data were expected in Q4 2013. The filing describes this as an early-stage program with uncertain clinical outcomes.
  • The Prophage G-100 glioma Phase 2 trial was fully enrolled, with follow-up underway. Preliminary data presented in May 2013 reported a 146% increase in progression-free survival and a 60% increase in overall survival versus standard of care alone. G-200 Phase 2 results were being prepared for publication, and a separate NCI-sponsored G-200 combination trial was anticipated to begin enrolling in Q2 2013.
  • Oncophage was approved only in Russia for a specified kidney-cancer population; the filing reports minimal sales to date. Its Russian licensee was still establishing manufacturing capabilities, and reimbursement and commercial prospects remained uncertain.
  • The company warned that ongoing losses and the need for additional capital could threaten operations if financing or partnering proceeds are unavailable. It may reduce or discontinue programs, restrict capital spending or scale back operations. Clinical, regulatory, manufacturing, intellectual-property, reimbursement, partner-dependence and competition risks are significant.
  • Clinical study agreements contemplated estimated payments of $51.1 million over their terms; $47.7 million had been paid by March 31, 2013. The timing of remaining payments depends on patient enrollment and services performed.

Most important facts for investors to verify

  • Whether the April 2013 debt exchange and new financing materially extend liquidity, considering the new debt’s interest, security and 2015 maturities.
  • Actual cash burn and financing proceeds versus management’s $18–21 million 2013 cash-use estimate and stated runway into 2014.
  • HerpV Phase 2 data timing and results, and the status and interpretation of Prophage clinical programs.
  • Whether QS-21 licensees achieve expected clinical and regulatory milestones, commercial launches and royalties, and the effect of the assigned revenue interests.
  • Whether the Russian Oncophage licensee establishes manufacturing and reimbursement, and whether sales generate meaningful revenue.
