In fiscal Q4, sales were $94.1 million versus $90.0 million a year earlier; gross profit was $47.5 million versus $44.2 million. The company recorded a $1.1 million net loss, or $0.03 per diluted share, compared with a $0.9 million net loss, or $0.03 per diluted share, in FY2013 Q4.
Changes and drivers
- Gross margin improved 1.3 percentage points, mainly as the prior-year Navilyst acquired-inventory step-up cost ended and higher-margin AngioVac sales grew.
- Operating income improved, while sales and marketing expense rose 9% to $83.2 million, reflecting sales-force investment and sales mix. Acquisition, restructuring and other items were $10.8 million, including acquisition and litigation costs and New York plant consolidation charges.
- Peripheral Vascular sales rose 7%; Vascular Access was essentially flat; Oncology/Surgery rose 5%, with microwave and NanoKnife gains partly offset by lower radiofrequency ablation sales.
- Net cash from operations declined to $25.3 million, partly reflecting higher receivables and inventory. Investing used $17.0 million, primarily for capital expenditures and the Clinical Devices acquisition; financing used $14.0 million, including $15.9 million of contingent consideration payments.
Liquidity, debt and outlook
At May 31, 2014, cash was $16.1 million and marketable securities were $1.8 million. Debt comprised $91.3 million under the term loan and $46.4 million under the revolving facility. The secured credit agreement has a five-year maturity and financial covenants; AngioDynamics reported compliance at year-end. Management stated that cash, investments and operating cash flow should cover anticipated capital needs for at least 12 months.
The company’s operational excellence program targets $15–$18 million of savings over three years, with an estimated $4.7 million of restructuring charges and $5.4 million of facility-improvement investment. The plan includes consolidating New York manufacturing and distribution operations and reducing the New York workforce by approximately 80–100 positions. The filing provides no formal revenue or earnings guidance.
Risks, contingencies and unusual items
- Contingent acquisition consideration had a year-end fair value of $67.4 million; the company estimated approximately $78.1 million of undiscounted future payments, subject to milestones and sales performance.
- AngioDynamics received judgments of $23.2 million and $74.9 million in separate biolitec matters. The latter was appealed; the filing does not establish that either judgment will be collected. A separate bankruptcy proceeding remained pending.
- C.R. Bard alleged patent infringement involving certain implantable ports. Reexamination rejected 40 of 41 asserted patent claims; proceedings continued and the court case was stayed. No litigation loss was accrued because a loss was not considered probable and reasonably estimable.
- FDA inspections in 2014 resulted in one observation at Queensbury, which the company said was corrected during inspection, and three observations at Glens Falls. The company said earlier Queensbury quality-system issues had been addressed, but additional regulatory action remains a stated risk.
- Goodwill and intangible assets totaled approximately $566 million, about 71% of total assets. The annual goodwill impairment test found no impairment, but a relatively small valuation cushion was reported: fair value exceeded carrying value by 7%.
- The filing identifies acquisition integration, competition and pricing pressure, reimbursement and medical-device excise-tax exposure, supplier concentration, product liability, regulatory compliance, and debt service as material risks. A failed-auction holding of $1.8 million remained illiquid, though interest payments were current.
- An immaterial ERP implementation accounting error increased third-quarter cost of sales by $0.7 million before tax; the company revised the quarter’s presentation. Management and the auditor reported effective internal control over financial reporting.
Important facts for investors to verify
- Whether sales growth and margin gains persist, particularly in AngioVac, EVLT, microwave ablation and NanoKnife.
- Progress against the $15–$18 million operational-savings target, including restructuring costs and execution effects.
- Debt repayment capacity, covenant headroom, and the amount and timing of contingent acquisition payments.
- Collection prospects and appeal outcomes for the biolitec judgments, and developments in the Bard patent dispute.
- Resolution of FDA observations and continued compliance at manufacturing facilities.
- Assumptions supporting deferred tax asset realization and the carrying value of goodwill and intangible assets.
