Service revenue fell 15%. Servicer and Real Estate service revenue grew 4% to $112.1 million, while Origination revenue declined 44% to $32.4 million amid a weaker mortgage-origination market. Gross profit improved as cost reductions and a more favorable business mix supported margins. The 2021 operating result included an $88.9 million gain from the Pointillist sale; 2022 included a $0.2 million loss related to expected claims against the sale indemnification escrow. Interest expense rose to $16.6 million from $14.5 million.
Balance sheet, cash flow and debt
- At year-end, cash and cash equivalents were $51.0 million; total cash, cash equivalents and restricted cash were $54.3 million. Current assets were $87.6 million and current liabilities $40.1 million.
- Long-term debt was $245.2 million on the balance sheet; principal outstanding was $247.2 million. The company reported net debt of $196.2 million using principal debt less cash.
- Operating cash outflow improved from 2021 but remained substantial. Investing cash flow was an outflow of $0.8 million in 2022, compared with $102.8 million inflow in 2021, largely reflecting Pointillist sale proceeds in 2021. Capital expenditures were $0.9 million in 2022.
- The February 2023 stock offering raised approximately $21 million net; $20 million was used to repay term loans. The amended term-loan maturity is April 30, 2025, with a potential extension to April 30, 2026 subject to conditions, including at least $30 million of qualifying paydowns by February 14, 2024. The February repayment left $10 million more required for that threshold.
- The amended term loan initially bears interest at SOFR plus 5% cash interest and 5% payment-in-kind interest; after the $20 million paydown, the PIK component decreased to 4.5%. The amended $15 million revolving facility carries 10% cash and 3% PIK interest. The filing reports no revolver borrowing at December 31, 2022.
Outlook, risks and unusual items
- Management expects default-related demand to grow as foreclosure activity recovers, but says pandemic-related impacts may persist through at least mid-2024. Foreclosure initiations rose 368% in 2022 versus 2021 but remained 45% below 2019; foreclosure sales rose 39% but remained 67% below 2019. Management estimates later-stage foreclosure and REO services may not fully benefit from the higher 2022 initiations until late 2023 or early 2024.
- Reported stabilized annualized revenue estimates include sales wins of $9.4 million in Servicer and Real Estate and $21.6 million in Origination. Weighted sales pipelines were estimated at $41–$51 million and $20–$25 million, respectively. These are estimates, not guaranteed revenue, and the filing provides no formal earnings or revenue guidance.
- Customer concentration is significant: Ocwen accounted for 41% of consolidated revenue in 2022, up from 31% in 2021. Ocwen agreements extend through August 2030, but pricing, volume, regulatory developments and servicing relationships could affect revenue. Rithm’s brokerage agreement runs through August 2025.
- Debt, negative operating cash flow, variable interest rates and restrictive credit covenants create liquidity and refinancing risks. The maturity extension depends on qualifying capital raises and other conditions; lenders also received warrants that could dilute shareholders. The February 2023 offering itself increased shares outstanding.
- Other material exposures include mortgage origination weakness, regulatory inquiries involving the company and its customers, data and cybersecurity risks, licensing requirements, litigation and tax uncertainty. The company said it could not yet estimate the outcome or financial impact of current governmental inquiries. It reported a $5.3 million tax provision and $16.7 million of unrecognized tax benefits including interest and penalties.
- The 2021 Pointillist divestiture generated approximately $106 million in proceeds for Altisource and a $88.9 million gain; approximately $3.2 million of indemnification escrow receivable remained recorded at year-end 2022. The 2022 accounts also include a $0.2 million estimated escrow-claims loss.
Important facts for investors to verify
- Progress toward the remaining $10 million qualifying paydown and the April 2026 maturity-extension conditions, as well as cash liquidity and covenant compliance.
- Whether operating cash burn moderates and whether the expected recovery in foreclosure referrals converts into revenue and cash receipts on management’s stated timeline.
- Ocwen’s share of revenue, related portfolio exposure, contract economics and any changes in its servicing or regulatory position; also monitor the Rithm agreement and renewal risk.
- Actual conversion of awarded business and sales pipeline into recurring revenue, particularly in Origination, and the effect of ongoing mortgage-market weakness.
- Potential dilution from the 2023 share offering and lender warrants, and the resolution of regulatory inquiries, tax positions and escrow claims.
