Revenue by segment was $79.0 million for Sample Management Solutions, up 5%; $62.7 million for Multiomics, up 3%; and $12.6 million for B Medical Systems, down 70%. B Medical’s decline reflected the timing of cold-chain equipment orders and unfavorable product mix. International revenue was $63.7 million, or 41% of total revenue, versus $90.6 million, or 51%, in the prior-year quarter.
Operating expenses declined $13.4 million to $88.2 million, primarily due to lower bad-debt and commission expenses, reduced share-repurchase and governance-related costs, and cost-reduction initiatives. Research and development increased to $8.5 million from $7.5 million. Restructuring charges were $1.1 million.
Interest income was $10.1 million, and other income was $0.7 million. The income tax benefit fell to $0.2 million from $4.6 million because of valuation allowances and tax reserves against U.S. deferred tax assets.
Cash, cash equivalents and restricted cash totaled $708.2 million at December 31, 2023. Including marketable securities, total cash, restricted cash and investments were $1.051 billion, down from $1.134 billion at September 30, 2023. The Company reported no outstanding debt. It stated that available liquidity should fund operating and capital requirements for at least one year and the foreseeable future, while noting that longer-term requirements remain difficult to predict.
Investing cash flow was $98.4 million, primarily reflecting $110.3 million of marketable-security sales and maturities, partially offset by $11.9 million of capital expenditures. Financing cash flow was $(113.2) million, including $113.0 million of share repurchases. The Company repurchased 2.3 million shares for $112.9 million during the quarter and had $548.6 million remaining under its authorization.
Material changes versus the prior comparable period
- Total revenue declined 13%, with growth in Sample Management Solutions and Multiomics more than offset by the B Medical Systems decline.
- Gross margin contracted to 39.9%, primarily because of B Medical product mix.
- Consolidated operating loss improved modestly, but operating margin deteriorated because of lower revenue and gross profit.
- Net loss increased primarily because the income tax benefit was substantially lower than in the prior-year quarter.
- Operating cash flow turned positive, reflecting improved receivables collections, inventory management and customer prepayments.
- Weighted-average shares declined to 56.7 million from 72.5 million, reflecting substantial share repurchases.
- Segment adjusted operating results deteriorated to a combined loss of $8.7 million from income of $0.04 million, driven primarily by B Medical Systems’ decline.
Outlook, risks, contingencies and unusual items
The filing does not provide specific revenue, earnings or margin guidance. Management highlighted continued cost-reduction efforts, product and service development, and the potential benefits of the new segment structure, but cautioned that economic conditions make longer-term liquidity requirements difficult to forecast.
- Goodwill totaled $800.2 million and intangible assets totaled $290.2 million. B Medical Systems’ estimated fair value exceeded carrying value by approximately 5% as of October 1, 2023, creating sensitivity to weaker performance, macroeconomic deterioration or adverse valuation assumptions.
- The Company recorded $1.1 million of restructuring charges and had a $0.95 million restructuring reserve at quarter-end.
- In October 2023, performance goals for certain previously issued restricted stock units were amended. The modification resulted in total compensation cost of $5.5 million, including $0.2 million recognized in the quarter.
- An indemnification claim related to the prior sale of the semiconductor cryogenics business remained outstanding. The accrued liability was $1.7 million at December 31, 2023; management does not expect a material adverse effect, but the ultimate outcome is uncertain.
- U.S. customs authorities are reviewing historical tariff calculations related to GENEWIZ imports. The estimated additional amount under the revised methodology was described as immaterial and accrued.
- Non-cancellable commitments totaled $78.1 million, including $58.2 million for inventory purchases and $19.9 million for information-technology commitments.
- Key risks include demand and order timing, foreign-currency exposure, cybersecurity, supply-chain disruption, customer spending, acquisition integration, goodwill impairment, tax valuation allowances and legal or indemnification claims. The filing states that there were no material changes to the risk factors in the 2023 Form 10-K.
Important facts for investors to verify
- Whether B Medical Systems’ revenue decline was temporary order timing or reflects a sustained deterioration in demand and profitability.
- Progress toward restoring consolidated and segment profitability, particularly given B Medical’s negative adjusted operating margin of 35.0%.
- The sustainability of positive operating cash flow and the effect of continued share repurchases on liquidity and per-share results.
- Potential goodwill impairment exposure, especially the approximately 5% valuation cushion for B Medical Systems.
- The size and timing of future tax valuation allowances and their effect on the effective tax rate.
- The resolution and ultimate exposure associated with the outstanding Edwards indemnification claim and customs tariff review.
- Execution of cost-reduction initiatives, restructuring actions and the amended performance-based equity awards.
