BICYCLE THERAPEUTICS PLC annual report, FY2020

Bicycle Therapeutics plc — FY2020 Form 10-K

Reporting period: Fiscal year ended December 31, 2020; filed March 11, 2021. The company is a clinical-stage biopharmaceutical developer of synthetic bicyclic-peptide medicines. It has no approved products and generated no product-sales revenue; collaboration revenue is its reported revenue source.

Business context and pipeline

  • Its lead oncology candidates are BTCs: BT1718 (MT1-MMP), in a Cancer Research UK-sponsored Phase I/IIa trial; BT5528 (EphA2), in a company-sponsored Phase I/II trial; and BT8009 (Nectin-4), in a company-sponsored Phase I/II trial.
  • BT7480, a Nectin-4/CD137 tumor-targeted immune agonist, remained in IND-enabling work; the company expected to begin Phase I in the second half of 2021. BT7455 and BT7401 were also in development.
  • Partnerships extend the platform into immuno-oncology, ophthalmology, dementia, respiratory, cardiovascular and other areas. Genentech paid a $30 million upfront fee in 2020, plus $1 million for selection of a targeting arm.

  • Revenue declined $3.4 million, mainly because Sanofi collaboration revenue fell by $10.7 million after termination of its programs; this was partly offset by Genentech, Oxurion and AstraZeneca revenue.
  • Operating expenses rose $22.3 million. R&D increased $7.6 million, reflecting greater clinical and TICA program spending, headcount and share-based compensation, partly offset by higher U.K. R&D credits. G&A rose $14.6 million, including legal and consulting costs and $4.7 million of Pepscan settlement-related expense.
  • Operating cash use was $17.8 million, versus $28.6 million in 2019; investing cash use was $1.2 million. Financing provided $62.8 million, including $48.1 million net proceeds from the ATM offering and $15.0 million of Hercules borrowings. Cash increased $43.9 million during the year.
  • The filing states that year-end cash was expected to fund operating and capital needs for at least 12 months from the filing date, while noting this estimate depends on assumptions and additional funding may be needed. The company remains loss-making, with a $151.6 million accumulated deficit.

Material developments, outlook and risks

  • Clinical signals are preliminary: In BT1718’s Phase I portion, 13 of 24 response-evaluable patients had at least stable disease at eight weeks; one patient had a 68% tumor reduction. In BT5528, the company reported one partial response (43% reduction in target lesions) and one ongoing stable-disease case (25% reduction). These are early, limited observations and may not predict later results.
  • Cash runway and financing after year-end: In January and February 2021, the company raised $48.7 million net through its ATM program. In March 2021 it borrowed another $15.0 million under the Hercules facility. The debt amendment extended the interest-only period to August 2023, potentially February 2024 if specified milestones are achieved; principal repayment was then scheduled to follow through October 2024.
  • Debt terms: At year-end, the $15.0 million loan bore interest at 8.85% and was secured by substantially all personal property and other assets, excluding intellectual property. It includes covenants and default provisions; default could trigger an additional 5% interest and acceleration. Future contractual debt payments, including interest and end-of-term charge, were estimated at $19.7 million as of year-end.
  • Pepscan settlement: The company settled worldwide intellectual-property disputes in November 2020 and obtained a license covering BT1718 and THR-149. It paid €3 million, owed €1 million on the first anniversary, and agreed to contingent development, regulatory and commercial milestone payments with an aggregate stated value of $92.4 million. The filing recorded $4.7 million of expense and a $1.2 million liability for the matter at year-end.
  • Other contingent obligations: Cancer Research UK agreements include future milestones; the filing cites aggregate milestone values of $111.2 million across the arrangements. Such amounts depend on future events and are not equivalent to currently due debt.
  • Key risks: Clinical and regulatory failure, uncertain patient enrollment and trial timing, adverse effects, reliance on collaborators and third-party manufacturers, need for additional capital, IP protection and litigation, and intense competition. COVID-19 temporarily paused BT1718 enrollment in the first half of 2020 and could again disrupt trials, suppliers or operations. Brexit, foreign-exchange exposure and reimbursement uncertainty are also noted.
  • Unusual quarterly item: Q4 2020 included $4.7 million of Pepscan-related expense. Q4 collaboration revenue was $3.8 million and net loss was $17.4 million.
  • Management reported effective disclosure controls and internal control over financial reporting at December 31, 2020. The independent auditor gave an unqualified opinion on the financial statements; it did not attest to internal-control effectiveness because the company was an emerging growth company.

Most important facts for investors to verify

  1. Whether the BT1718, BT5528 and BT8009 preliminary safety and efficacy observations are sustained in larger, prospectively selected patient cohorts.
  2. Actual cash burn, updated runway and funding needs after the 2021 ATM proceeds and additional Hercules borrowing.
  3. Debt interest, repayment schedule, milestone conditions and covenant compliance under the amended Hercules facility.
  4. Timing and financial impact of Pepscan and Cancer Research UK contingent milestones, plus the terms and progress of material collaboration options.
  5. Whether clinical enrollment, manufacturing supply and regulatory plans remain on schedule despite COVID-19 and other operational risks.
