Sales rose about 72%, while net earnings more than doubled. The acquired businesses contributed $58.8 million of sales and approximately $5.9 million of operating income. Excluding the acquisitions, management reported revenue growth of $0.6 million year over year.

Gross margin improved despite higher material costs as a percentage of sales, partly reflecting lower labor costs as a percentage of sales from the acquired businesses and legacy-Bel operations. The reported tax rate rose to 26.6% from 13.8%; the filing attributes the increase mainly to U.S. taxes associated with uncertain tax positions and acquired foreign-entity income, partly offset by a valuation-allowance reversal.

Liquidity, debt, and balance sheet

  • At March 31, cash was $78.6 million; total debt was $220.9 million, comprising $14.8 million current and $206.2 million long-term. Approximate net debt was $142.3 million.
  • Current assets were $303.8 million and current liabilities $122.3 million; the reported current ratio was 2.5 to 1.
  • The credit facility had $27.0 million of unused capacity, but covenant-based borrowing capacity was $22.9 million. Bel was in compliance with its debt covenants. The weighted-average borrowing rate was 2.96%; the facility matures in June 2019.
  • Cash from operations increased substantially year over year. Bel repaid $11.7 million of long-term debt, spent $2.8 million on capital expenditures, and paid $0.8 million in dividends during the quarter.
  • Foreign subsidiaries held $68.7 million, or 87% of cash. Management intends to permanently reinvest foreign earnings and notes that taxable repatriation could incur U.S. tax.

Material changes and notable items

  • Power Solutions and Connectivity Solutions together accounted for a substantial portion of reported growth. Acquired-company operating results included approximately $5.9 million of operating income; Power Solutions’ Asia operations recorded an operating loss, while its Europe operations generated most of the acquired businesses’ operating income.
  • Sales by product group were $55.5 million in power solutions and protection, $45.6 million in connectivity, and $40.9 million in magnetic solutions. Excluding acquisition contributions, legacy connectivity sales declined 5.6%; legacy power sales increased 4.8%.
  • Bel sold the Network Power Systems product line for $9.0 million in cash, with an additional $1.0 million held in escrow subject to sales targets. The $9.0 million proceeds were used to repay borrowings. Bel recorded $9.0 million of deferred revenue and recognized $0.9 million of sales related to the transaction in Q1.
  • Other comprehensive loss was $10.2 million, primarily from a $10.4 million currency translation loss; comprehensive loss was $4.7 million despite positive net earnings.
  • Restructuring charges were $0.2 million, related to U.K. facility consolidations and further restructuring at Cinch US. Acquisition-related costs were $0.4 million.

Outlook, risks, and contingencies

  • Management’s 2015 outlook called for modest growth in magnetics and connectivity, while maintaining and positioning the power business for customers. It expected integration synergies to provide over $12 million in annualized savings; restructuring and integration efforts were expected to continue in 2015. These are forward-looking statements, not guarantees.
  • Management said current liquidity and expected operating cash flow should fund operations and obligations for the next 12 months. It cautioned that quarterly results may fluctuate and are affected by demand variability, product and geographic mix, labor and material costs, foreign exchange, interest rates, and customer ordering patterns.
  • Uncertain tax position liabilities were $40.8 million. An acquired Italian tax claim of approximately $12.0 million is included in that liability and, according to the filing, is covered by an indemnification asset from ABB. Bel also expects to continue accruing approximately $2.5 million annually in interest and penalties on the tax matter until resolution.
  • The SynQor II appeal remained pending, with a decision expected in June–July 2015; the filing describes customer indemnification for post-verdict damages. Bel also disclosed ongoing patent litigation with Molex and an asbestos lawsuit involving its Cinch subsidiary. Management did not expect other legal matters to materially affect results or financial position.
  • Acquisition fair-value estimates remained provisional. Final adjustments could affect reported assets and liabilities and future depreciation and amortization. Bel also identified foreign exchange and interest-rate exposure; it reported no material change in market risk during the quarter.

Most important facts for investors to verify

  • How much of future sales and profit growth is organic, versus attributable to the 2014 acquisitions, and whether expected synergies are being realized.
  • Whether margins and cash generation remain sustainable as product mix, labor and material costs, and demand change.
  • Debt repayment progress, covenant headroom, and the availability of U.S. liquidity given that most cash is held abroad.
  • Developments in the Italian tax matter, related indemnification, and other uncertain tax positions.
  • Final acquisition purchase-accounting adjustments, the NPS escrow outcome, and material developments in disclosed litigation.
