Capital expenditures were $3.0 million; operating cash flow less capital expenditures was approximately $10.5 million. Cash and cash equivalents were $20.4 million at quarter-end, versus cash and marketable securities totaling $43.7 million at year-end 2023. Net debt was $67.6 million, down from $72.2 million. Quarter-end debt was $90.0 million in borrowings ($88.0 million net of issuance costs); total current and long-term debt liabilities were $88.0 million. The company reported a 1.0-to-1.0 leverage ratio against a 3.0 maximum and a 3.43-to-1.0 debt-service coverage ratio against a 1.25 minimum; it was in covenant compliance.
The February credit agreement amendment raised maximum commitments from $200 million to $300 million, including a $200 million revolving facility, a $50 million term loan and a $50 million delayed-draw term loan. DMC said available cash, operating cash flow and credit facilities should fund foreseeable operating, debt-service and capital needs, while warning that cash generation, access to borrowing and capital markets, and acceptable financing terms are not assured. The quarterly dividend remains suspended indefinitely.
Segment results and changes versus prior year
- Arcadia Products: Sales fell 23% to $61.9 million; operating result was a $0.6 million loss versus $3.1 million income. Lower volumes reflected softer commercial and ultra-high-end residential markets, alongside lower pricing as aluminum costs declined.
- DynaEnergetics: Sales declined 5% to $78.1 million; operating income fell 33% to $8.8 million and gross margin dropped to 21.7% from 29.8%. Pricing pressure on DS perforating systems amid U.S. customer consolidation and lower fixed-cost absorption weighed on results.
- NobelClad: Sales increased 22% to $26.8 million; operating income rose 95% to $5.1 million and gross margin improved to 32.2% from 26.2%. Higher energy and petrochemical activity and favorable project mix supported results. Backlog was $52.4 million, down from $59.4 million at December 31, 2023.
Consolidated gross margin contracted amid DynaEnergetics margin pressure and reduced fixed-cost absorption. Lower reported G&A partly reflected prior-year CEO transition and accelerated stock-compensation charges of $6.0 million and DynaEnergetics patent litigation costs of $3.1 million. Q1 2024 included $2.2 million of strategic-review expenses. Adjusted EBITDA attributable to DMC declined despite higher consolidated net income.
Outlook, risks and unusual items
- DMC expects Arcadia to be a primary future growth driver, citing ERP and engineering initiatives, additional painting capacity and plans to expand product availability across branches. The filing gives no numerical company-wide earnings or revenue guidance.
- Management expects North American well-completion activity to remain soft in Q2 2024. DynaEnergetics is pursuing premium products and operational improvements, including automation, to partly offset pricing pressure.
- NobelClad reported strong demand for its Cylindra cryogenic transition joints and is pursuing large petrochemical orders that could be awarded later in 2024. Most backlog orders are expected to ship within twelve months; awards and timing are uncertain.
- The board initiated a strategic review of DynaEnergetics and NobelClad, considering alternatives that could include a sale, merger, business combination or strategic investment. No timetable is set and no transaction is assured. Q1 review costs were $2.2 million.
- A German tax audit of NobelClad covering 2019–2021 is forthcoming; the outcome cannot be predicted. A Clean Water Act citizen suit concerning alleged stormwater violations at three Arcadia facilities was filed in April 2024; potential penalties and resolution are uncertain.
- Two Arcadia wage-and-hour matters settled for $0.6 million overall, of which Arcadia agreed to pay $0.375 million; court approval was received April 26, 2024. The company had reserved that amount and recorded an indemnification receivable, with no income-statement impact reported.
- One DynaEnergetics customer represented approximately 23% of consolidated Q1 sales and 31% of quarter-end receivables, creating customer concentration exposure. Management also cited economic and geopolitical uncertainty, supply-chain disruptions, input costs, demand, pricing, foreign exchange and financing availability as risks.
Most important facts for investors to verify
- Whether Arcadia’s sales and operating performance recover, and whether its capacity, ERP and engineering initiatives deliver the expected benefits.
- Whether DynaEnergetics can stabilize pricing and margins amid soft activity and industry consolidation; monitor customer concentration and receivables.
- Whether NobelClad converts its backlog and potential large orders into shipments and cash, given the sequential backlog decline.
- Progress and any outcome of the DynaEnergetics/NobelClad strategic review, including transaction terms, timing and associated costs.
- Cash generation, debt levels, covenant headroom and financing access, as well as the outcomes of the environmental matter and German tax audit.
- The effect of redeemable Arcadia minority-interest accounting on attributable earnings and EPS: DMC reported $2.6 million of attributable net income, while the EPS reconciliation adjusted for the redeemable interest and yielded $0.01 per share.
