Liquidity, debt, and capital
- Cash and cash equivalents were $323.8 million at year-end; working capital surplus was $327.5 million.
- Term debt principal was $792.0 million, with $8.0 million classified as current; $249.3 million remained available under the revolving facility.
- The Term B Loan had a 4.2% weighted-average interest rate in 2022, compared with 3.0% in 2021. CCC entered into interest-rate caps covering $600 million of notional debt at a 4.0% cap through July 2025. Management estimated a 100-basis-point rate increase would add $1.9 million to annual interest expense after the caps.
- Management said cash, operating cash flow, and available revolver capacity should fund operations, required debt repayments, and capital expenditures for at least the next 12 months. No current plan to pay cash dividends was disclosed.
Material changes and notable items
- Net income turned positive, primarily reflecting the prior-year comparison: FY2021 included $209.9 million of stock-based compensation recognized in connection with the 2021 business combination. Total stock-based compensation was $109.5 million in 2022 versus $262.0 million in 2021.
- Gross margin improved to 72.7% from 71.6%, which CCC attributed mainly to higher subscription revenue and scale benefits. Adjusted EBITDA increased 16.8%.
- Software net dollar retention was 106% for the quarter ended December 31, 2022, down from 115% in the comparable 2021 quarter. Software gross dollar retention was 99%, versus 98%. These metrics exclude certain smaller and emerging solutions and customers.
- Operating cash flow rose to $199.9 million. Investing cash outflow was $76.3 million, including $48.0 million of software, equipment, and property purchases and $32.2 million for the Safekeep acquisition.
- CCC acquired Safekeep, adding AI-enabled subrogation capabilities, for $32.5 million of acquisition-date consideration. A contingent cash earnout could reach $90 million, subject to revenue performance through 2024.
- Other notable items included $26.1 million of income from the decrease in private warrant fair value, a $3.6 million gain on sale of an investment, and a $3.8 million fee and $3.1 million loss associated with terminating an office lease.
Outlook, risks, and contingencies
The filing provides no specific quantitative revenue or earnings guidance. Management emphasized continued investment in product development, AI, platform infrastructure, privacy, security, sales, and expansion of solutions and markets. CCC reported R&D expense of $157.0 million in 2022, or 20% of revenue; including capitalized development time, total R&D spend was 24% of revenue.
- Key risks include reliance on a relatively small group of customers, renewal and expansion performance, customer bargaining power, competition, and exposure to claim volumes and broader insurance and repair industry conditions.
- Cybersecurity, data privacy, service interruptions, third-party data and cloud providers, regulatory changes, and the ability to develop and commercialize new solutions could affect results.
- Floating-rate debt exposes CCC to higher interest costs; debt covenants and collateral provisions may constrain financing, acquisitions, and other actions.
- CCC disclosed putative class actions alleging its total-loss vehicle valuations undervalue insured vehicles. Management said pending or threatened matters were not expected to materially affect financial position or results, but litigation outcomes remain uncertain.
- China goodwill was not impaired, but its estimated fair value exceeded carrying value by only about 5%; the filing says a 40-basis-point increase in the discount rate would make estimated fair value approximate carrying value.
- There was no material weakness reported in internal control over financial reporting; management and the auditor concluded controls were effective as of year-end.
Important facts for investors to verify
- Whether the decline in Q4 software net dollar retention persists, and how customer upgrades, pricing, and new-customer additions affect growth.
- Cash generation and free cash flow relative to ongoing software investment, debt service, and potential Safekeep earnout payments.
- Floating-rate debt costs, performance of the interest-rate caps, and compliance with credit-agreement covenants.
- Developments in total-loss valuation litigation and any related financial exposure beyond insurance or contractual protections.
- China business performance and goodwill impairment sensitivity, as well as Safekeep integration and acquisition returns.
