  • Q2 revenue rose 61.5%; six-month revenue rose 32.2%. The acquired business contributed $78.0 million of revenue from May 1 through June 30.
  • Q2 operating expenses were $274.4 million, including $137.5 million network operations, $83.7 million SG&A, and $52.5 million depreciation and amortization. Six-month operating expenses were $403.7 million.
  • Reported net income was dominated by a $1,155.7 million non-cash bargain-purchase gain from the Sprint Wireline acquisition. Excluding that unusual gain, reported net income is not a useful indicator of recurring operating performance.
  • Q2 basic and diluted earnings per share were $23.84 and $23.65; six-month figures were $23.97 and $23.79. Dividends declared were $0.935 per share in Q2 and $1.86 for the first half.
  • At June 30, cash and cash equivalents were $192.4 million; restricted cash was $51.6 million. Total cash, cash equivalents, and restricted cash were $244.0 million, down $32.0 million from year-end.
  • Total debt at par was approximately $1.3 billion, including $950 million principal on the 2026 and 2027 notes and $331.5 million of finance lease obligations. Notes carry fixed rates of 3.50% and 7.00%, respectively. The company also has a swap that exposes the 2026 notes to variable-rate interest.
  • Total assets were $3.16 billion and total liabilities $2.62 billion. Current assets were $713.2 million and current liabilities $415.8 million; these balances include substantial acquisition-related receivables and payables with T-Mobile.

Material changes and acquisition

  • Cogent closed its acquisition of Sprint’s U.S. long-haul fiber Wireline Business on May 1, 2023. It recorded acquired assets and assumed liabilities at provisional fair values and recognized a $1.16 billion bargain-purchase gain. The valuation remains subject to refinement and involves significant estimates.
  • The transaction includes a $700 million IP Transit Services Agreement with T-Mobile, payable in monthly installments over 54 months. Cogent recorded the receivable at discounted present value, recognizing $7.7 million of interest income in the first half; it did not classify the arrangement as revenue.
  • Acquisition-related expansion sharply increased the scale of reported operations: Q2 network operations expense rose 143.3%, SG&A rose 112.4%, and depreciation and amortization rose 127.6%. Management attributed increases to the acquired business, network expansion, power costs, and higher staffing.
  • Off-net revenue increased 181.1% in Q2 and 91.6% in the first half, partly reflecting acquired connections. On-net revenue grew 14.0% in Q2 and 8.5% in the first half. Management cited continued price pressure in net-centric services: average price per megabit fell 4.6% in Q2 and 12.7% for the first half.
  • Six-month operating cash flow increased to $118.5 million, but included a $118.8 million amount due to the Seller under transition services arrangements; the filing says this payable increased operating cash flow. Cash dividends paid were $90.2 million.

Outlook, risks, and contingencies

  • No formal revenue or earnings guidance is provided. Management expects cash on hand and operating cash generation to cover working capital, capital spending, debt service, and dividends for the next 12 months, provided the company executes its business plan.
  • Management intends to improve the acquired business’s cash flow through the T-Mobile agreement, cost reductions, customer retention, and growth in wavelength and optical transport services. It warns that integration, transition-service costs, and the pace of synergies remain uncertain.
  • Management stated it currently plans to continue its dividend policy. The board approved a $0.945-per-share dividend on August 2, expected to be paid September 8, 2023; future dividends and buybacks remain discretionary and subject to cash needs and debt covenants.
  • Key risks include acquisition integration and failure to realize expected savings or retain customers; pricing competition; corporate customer demand and office occupancy; rising power and interest costs; variable-rate swap exposure; network, fiber-supplier, and right-of-way dependence; and the ability to refinance debt when due.
  • The swap’s fair-value liability is reported as $51.6 million in the financial-statement note, while MD&A elsewhere cites $52.1 million. The swap requires restricted collateral and could require additional deposits if its liability increases.
  • Cogent disclosed a reasonably possible loss of up to $3.9 million above the accrued amount related to leased-circuit obligations. Management does not expect other ordinary-course legal matters to materially affect financial condition or results.
  • Acquired-business fair values, working-capital adjustments, and assumed short-term lease obligations remain provisional; final determinations were expected by the end of 2023. The company plans to exclude the acquired business from its 2023 internal-control assessment while integration proceeds.

Most important facts for investors to verify

  • Underlying revenue, operating margins, and cash generation excluding the acquired business and the bargain-purchase accounting gain.
  • Progress in integrating the Wireline Business, reducing its negative cash flow, retaining customers, and realizing cost and revenue synergies.
  • Actual collections and payment schedule under the $700 million T-Mobile agreement, and the final acquisition working-capital and lease adjustments.
  • Liquidity after restricted swap collateral, acquisition-related payables, dividends, capital expenditure, and upcoming debt and lease commitments.
  • Variable-rate swap costs and collateral requirements, including the differing swap-liability figures in the filing.
  • Whether dividend plans remain supportable under debt covenants and the company’s post-acquisition cash-flow performance.
